Return of Capital—Resignations. If a Member resigns under clause (i) of the first sentence of [Section 5.4], the purchase price for the Member’s Units shall be the lesser of # the amount paid by the Member as its Capital Contribution (if any), without interest, or # the positive Capital Account balance as of the effective date of the resignation. The Vice President of Finance shall certify the amount of the purchase price based upon the foregoing and the books and records of the Company, which certification shall be, absent manifest error, final and binding on the parties hereto and not subject to any appeal.

Return of Capital. If any Obligor shall receive any Return of Capital (other than from any Financing Subsidiary), the Borrower shall prepay an aggregate principal amount of Loans equal to 90% of such Return of Capital (excluding amounts payable by the Borrower pursuant to [Section 2.15]) no later than the fifth Business Day following the receipt of such Return of Capital (such prepayments to be applied as set forth in [Section 2.09(b)]).

If any Obligor shall receive any Return of Capital (other than from any Financing Subsidiary), the Borrower shall prepay an aggregate principal amount of such Loans owed to such Lender or Lenders equal to 90% of such Return of Capital (excluding amounts payable by the Borrower pursuant to [Section 2.15]) no later than the fifth Business Day following the receipt of such Return of Capital (such prepayments to be applied as set forth in [Section 2.09(b)]).

Return of Capital. The liquidators shall not be personally liable for the return of Capital Contributions or any portion thereof to the Members (it being understood that any such return shall be made solely from Company assets).
