Non-Transferability. Until any restrictions upon the Restricted Stock Units awarded to a Grantee shall have lapsed in the manner set forth in Section 9(c), such Restricted Stock Units shall not be sold, transferred or otherwise disposed of

Non-Transferability. Until any restrictions upon the Restricted Stock Units awarded to a Grantee shall have lapsed in the manner set forth in Section 9(c), such Restricted Stock Units shall not be sold, transferred or otherwise disposed of and shall not be pledged or otherwise hypothecated. Upon the termination of employment of the Grantee, all of such Restricted Stock Units with respect to which restrictions have not lapsed shall be forfeited at no cost to the Company if no purchase price had been paid for such Restricted Stock Units. The Committee may also impose such other restrictions and conditions on the Restricted Stock Units as it deems appropriate.

Non-Transferability. Until any restrictions upon the Shares of Restricted Stock Units awarded to a Grantee shall have lapsed in the manner set forth in Section 9(8(c), such Restricted Stock UnitsShares shall not be sold, transferred or otherwise disposed of and shall not be pledged or otherwise hypothecated, nor shall they be delivered to the Grantee. Upon the termination of employment of the Grantee, all of such Shares with respect to which restrictions have not lapsed shall be resold by the Grantee to the Company at the same price paid by the Grantee for such Shares or shall be forfeited and automatically transferred to and reacquired by the Company at no cost to the Company if no purchase price had been paid for such Shares. The Committee may also impose such other restrictions and conditions on the Shares as it deems appropriate.

Any attempted transfer of the Restricted Stock Units prohibited by this [Section 4] shall be null and void.

Non-Limits on Transferability. Until any restrictions uponGrantee’s right in the Restricted Stock Units awarded to a Grantee shall have lapsedunder this Agreement and any interest therein may not be sold, pledged, assigned, hypothecated, transferred, or disposed of in any manner, other than by will or by the manner set forth in Section 9(c), such Restricted Stock Unitslaws of descent or distribution. The Award shall not be sold, transferredsubject to execution, attachment or otherwise disposed ofother process.

Subject to any restrictions uponexceptions set forth in this Agreement or the Plan, during the Restricted Period and until such time as the Restricted Stock Units awarded to a Grantee shall have lapsedare settled in the manner set forth in Section 9(c)accordance with [Section 6], suchthe Restricted Stock Units shallor the rights relating thereto may not be sold,assigned, alienated, pledged, attached, sold or otherwise transferred or encumbered by the Grantee. Any attempt to assign, alienate, pledge, attach, sell or otherwise disposedtransfer or encumber the Restricted Stock Units or the rights relating thereto shall be wholly ineffective and, if any such attempt is made, the Restricted Stock Units will be forfeited by the Grantee and all of the Grantee's rights to such units shall immediately terminate without any payment or consideration by the Company.
