Restrictions on Collection and Enforcement. Each ​-District ​ agrees that it shall not commence or join in any action against any Obligor relating to the collection or enforcement of the ​-District Debt (including any remedies with respect to Collateral), except # if requested by Aegis in its capacity as Agent under [[Section 4(b) or (y)])]] in accordance with [Section 4(f)] upon the appointment of a Successor Agent; provided, notwithstanding anything to the contrary set forth in this Agreement, nothing in this Agreement shall be construed to prevent or impair the rights of any ​-District ​ to enforce this Agreement, including without limitation the provisions of this Agreement relating to the relative rights of Aegis and the ​-District Creditors to the allocation of payments and recoveries payable on account of the Pari Passu Debt (including from the Collateral and the proceeds thereof).

Aegis and Enforcement. Eacheach ​-District ​ agrees that it shall not commenceto initiate, prosecute or joinparticipate in any claim, action against any Obligor relating toor other proceeding # challenging the collectionenforceability, validity, perfection or enforcementpriority of the ​-DistrictPari Passu Debt (includingor any remedies with respect to Collateral), exceptLiens and security interests securing the Pari Passu Debt or # if requested by Aegis in its capacity as Agent under [[Section 4(b)challenging the enforceability or (y)])]] in accordance with [Section 4(f)] upon the appointment of a Successor Agent; provided, notwithstanding anything to the contrary set forth in this Agreement, nothing in this Agreement shall be construed to prevent or impair the rightsvalidity of any ​-District ​ to enforceterm or provision of this Agreement, including without limitation the provisions of this Agreement relating to the relative rights of Aegis and the ​-District Creditors to the allocation of payments and recoveries payable on account of the Pari Passu Debt (including from the Collateral and the proceeds thereof).; provided that Aegis and each of the ​-District Creditors may file any necessary responsive or defensive pleadings in opposition to any such claim, action or proceeding described in the [foregoing [clauses (i) and (ii)])]])] made by any Person.

Appointment of Aegis as Agent; Limitations on Collection and Enforcement.Rights of Agent. Each ​-District ​ agrees that it shallhereby irrevocably appoints, designates and authorizes Aegis, as its Agent to # take (or determine not commence or join into take) any action against any Obligor relating to the collection or enforcement of the actions described in [Section 4(a)] on such ​-District Debt (including any remedies​’s behalf with respect to Collateral), exceptsuch ​-District ​’s share of the Pari Passu Debt and # if requestedto exercise such powers and perform such duties as are permitted by Aegisthe terms of this Agreement, together with such powers as are reasonably incidental thereto, in its capacity as Agent under [[Section 4(b) or (y)])]]each case subject to and in accordance with the provisions of this [Section 4(f)] upon the appointment of a Successor Agent;4]; provided, notwithstanding anything to the contrary set forth in this Agreement, nothingthat without the prior written consent of the ​-District Creditors, neither Agent nor any agent, employee or attorney-in-fact of Agent acting on behalf of Agent in executing any of the rights granted to Agent as Agent under this Agreement[Section 4] shall be construedpermitted to prevent# amend or impairmodify any term or provision of any of the rights​-District Note Documents; # exercise any right under any provision of any A&R ​-District Note to convert the principal and/or accrued and unpaid interest under such A&R ​-District Note into shares of ​’s common stock; # release any liability or obligations of any Obligor owing to any ​-District ​ under the ​-District Note Documents unless such release is effected in connection with an Enforcement Action brought by Agent in accordance with this [Section 4] pursuant to enforce this Agreement, including without limitationwhich all of the provisions of this Agreement relating​-District Debt is Paid in Full prior to such release; # subject to [Section 7], release any Lien or other security interest in the relative rights of Aegis andCollateral granted to the ​-District Creditors under the ​-District Note Documents or hereunder unless such release is effected in connection with an Enforcement Action brought by Agent in accordance with this [Section 4] pursuant to which all of the allocation​-District Debt is Paid in Full prior to such release; or # change the ranking or priority of payments and recoveries payablethe ​-District Debt; provided further, that # in taking (or determining not to take) any action described in [Section 4(a)] on accountbehalf of ​-District Creditors with respect to their respective share of the Pari Passu Debt (including fromand # in exercising and/or performing any powers or duties in its capacity as Agent on behalf of the Collateral​-District Creditors with respect to their share of the Pari Passu Debt under this [Section 4], Agent shall do so in good faith and otherwise in accordance with the proceeds thereof).terms of this Agreement.

Aegis agrees not to the relative rights of Aegis and the ​-District Creditors to the allocation of payments and recoveries payable on accountassign or transfer all or any part of the Pari PassuAegis Debt (including from the Collateralor any claim which Aegis may have against any Obligor except pursuant to an agreement which is expressly made subject to all terms and the proceeds thereof).provisions of this Agreement.
