No transfer by will or the applicable laws of descent and distribution of any RSUs shall be effective to bind the Company unless the Committee administering the Plan shall have been furnished with written notice of such transfer and a copy of the will or such other evidence as the Committee may deem necessary to establish the validity of the transfer. Except as contemplated by the preceding sentence, none of the RSUs may be sold, assigned, transferred, pledged, attached or otherwise encumbered, and no attempt to transfer the RSUs, whether voluntary or involuntary, by operation of law or otherwise, shall vest the transferee with any interest or right in or with respect to the RSUs.

Nontransferability of RSUs. The RSUs and any rights granted hereunder may not be sold, transferred, assigned, pledged, or hypothecated in any way (whether by operation of law or otherwise), other than by will or the applicable laws of descent and distribution ofor in accordance with any RSUsbeneficiary designation procedures that may be established by the Corporation. Nor shall any such rights be effectivesubject to bindexecution, attachment, or similar process, other than in accordance with the Company unless the Committee administering the Plan shall have been furnished with written notice of such transfer and a copyterms of the willPlan. Upon any attempt to sell, transfer, assign, pledge, hypothecate, or such other evidence as the Committee may deem necessary to establish the validity of the transfer. Except as contemplated by the preceding sentence, noneotherwise dispose of the RSUs may be sold, assigned, transferred, pledged, attached or otherwise encumbered, and no attempt to transfer the RSUs, whether voluntary or involuntary, by operation of law or otherwise, shall vest the transferee with any interest or right in or with respectrights granted herein contrary to the RSUs.provisions of the Plan or this Agreement, or upon the levy of any attachment or similar process upon the RSUs or such rights, the RSUs and such rights shall, at the election of the Corporation, be forfeited for no consideration.

Non-Transferability of RSUs. Except as permitted by the Committee on a case-by-case basis, RSUs may not be sold, assigned, pledged, hypothecated, transferred or otherwise disposed of in any manner other than by will or by the applicable laws of descent andor distribution of any RSUs shall be effective to bind the Company unless the Committee administering the Plan shall have been furnished with written notice of such transfer and a copy of the will or such other evidence as the Committee may deem necessary to establish the validity of the transfer. Except as contemplated by the preceding sentence, none of the RSUs may be sold, assigned, transferred, pledged, attached or otherwise encumbered, and no attempt to transfer the RSUs, whether voluntary or involuntary, by operation of law or otherwise, shall vest the transferee with any interest or right in or with respect to the RSUs.court order.

Section # RSUs Not Transferable. The RSUs may not be sold, pledged, assigned or transferred in any manner other than by will or the applicable laws of descent and distribution ofdistribution, unless and until the Shares underlying the RSUs have been issued, and all restrictions applicable to such Shares have lapsed. No RSUs or any RSUsinterest or right therein or part thereof shall be effectiveliable for the debts, contracts or engagements of Participant or Participant’s successors in interest or shall be subject to binddisposition by transfer, alienation, anticipation, pledge, encumbrance, assignment or any other means whether such disposition be voluntary or involuntary or by operation of law by judgment, levy, attachment, garnishment or any other legal or equitable proceedings (including bankruptcy), and any attempted disposition thereof shall be null and void and of no effect, except to the Company unless the Committee administering the Plan shall have been furnished with written notice ofextent that such transfer and a copy of the will or such other evidence as the Committee may deem necessary to establish the validity of the transfer. Except as contemplateddisposition is permitted by the preceding sentence, nonesentence. Notwithstanding the foregoing, with the consent of the Administrator, the RSUs may be sold, assigned, transferred, pledged, attached or otherwise encumbered,transferred to Permitted Transferees, pursuant to such conditions and no attempt to transferprocedures the RSUs, whether voluntary or involuntary, by operation of law or otherwise, shall vest the transferee with any interest or right in or with respect to the RSUs.Administrator may require.
