Restricted Stock Unit. Settlement of a Restricted Stock Unit upon expiration of the deferral or vesting period shall be made in Stock or otherwise as determined by the Committee.

Restricted Stock Unit Award. The Company hereby grants to the Participant the number of Restricted Stock Units listed in the Notice of Grant as of the Date of Grant. Such number of Restricted Stock Units may be adjusted from time to time pursuant to [Section 10(c)] of the Plan.

RESTRICTED STOCK UNIT AWARD AGREEMENT. Each Restricted Stock Unit Award shall be evidenced by an Award Agreement that contains any substantial risk of forfeiture, transferability restrictions, form and time of payment provisions and other provisions not inconsistent with the Plan as the Committee may specify.

The present Addendum does not amend this Section.

The Company wishes to grant to the Participant named in Part I of this Agreement (the “Notice of Grant”) a Restricted Stock Unit Award (the “Award”) pursuant to the provisions of the Plan. This Award will entitle the Participant to receive Shares from the Company if the Participant meets the vesting requirements described herein.

Stock Options; Restricted Stock Unit Award. You were granted options to purchase shares of the Company’s common stock, pursuant to the Company’s 2012 Equity Incentive Plan (the “Plan”). Under the terms of the Plan and your stock option grant, vesting will cease as of the Separation Date and your rights to exercise any vested options shall be as set forth in the applicable stock option grant notice, stock option agreement, and/or the Plan; provided, however, if you timely sign this Agreement and allow the releases set forth herein to become effective, the post-termination exercise period for your options shall be extended to the close of business Pacific time (5:00 p.m.) on January 17, 2020. Your options shall otherwise continue to be governed by the terms of the applicable grant notices, stock option agreements and the Plan. Your restricted stock unit award, also granted under the Plan, lapses in full as of the Separation Date and is not subject to any acceleration of vesting under this Agreement or otherwise.

The present Addendum does not amend this Section.

RESTRICTED STOCK UNIT AWARD. A Restricted Stock Unit Award shall be similar in nature to a Restricted Stock Award except that no Shares are actually issued or transferred to the Participant until a later date specified in the applicable Award Agreement. Each Restricted Stock Unit shall have a value equal to the Fair Market Value of a Share.

Restricted Stock Unit Award. Restricted Stock Unit Award shall mean an Award as described in Section 6.5.
