Section # Capital Account Restoration.

Account” shall mean a notional account reflecting the aggregate of the Matching Restoration Account and the Employer Retirement Restoration Account maintained for each Participant under the terms and conditions of the Plan.

If [[Organization B:Organization]] fails to take any FM Restoration Quantity made available by [[Organization A:Organization]] (other than for reasons of Force Majeure), the FM Restoration Entitlement shall be reduced by a corresponding amount and [[Organization B:Organization]] shall pay to [[Organization A:Organization]] the amounts for such FM Restoration Quantity set forth in Exhibit A (Pricing).

Without prejudice to [[Organization B:Organization]]’s right to extend the Term pursuant to Section 4.3, if any accrued FM Restoration Entitlement exists at the end of the Initial Term, the Term shall be extended so that [[Organization A:Organization]] may make available such accrued FM Restoration Entitlement during the Restoration Period in accordance with Section 4.2, unless [[Organization B:Organization]] has elected to make a payment in accordance with [Section 5.14.4].

Landlord’s good faith estimate of the Estimated Restoration Period required to complete Landlord’s Restoration Work as set forth in Landlord’s Casualty Notice is greater than one (1) year from the date of the Casualty, or

If the Net Proceeds and the costs of completing the Restoration shall both be less than the Restoration Threshold, the Net Proceeds will be disbursed by to upon receipt, provided that all of the conditions set forth in [Section 6.4(b)(i)] are met and delivers to a written undertaking to expeditiously commence and to satisfactorily complete with due diligence the Restoration in accordance with the terms of this Agreement.
