Responsible Officer Certificate. A signed certificate from a Responsible Officer of Seller certifying: # that no amendments have been made to the organizational documents of Seller, Pledgor and Guarantor, unless otherwise stated therein; and # the authority of Seller and Guarantor to execute and deliver this Amendment and the other Transaction Documents to be executed and delivered in connection with this Amendment.

Responsible Officer. Any document delivered hereunder that is signed by a Responsible Officer of a Loan Party shall be conclusively presumed to have been authorized by all necessary corporate, partnership and/or other action on the part of such Loan Party and such Responsible Officer shall be conclusively presumed to have acted on behalf of such Loan Party.

Responsible Officer Certificate. A signed certificate from a Responsible Officer of Seller certifying: # that no amendments have been made to the organizational documents of Seller, Pledgor and Guarantor, unless otherwise stated therein; and # the authority of Seller and Guarantor to execute and deliver this Amendment and the other Transaction Documents to be executed and delivered in connection with this Amendment.

A signed certificate from a Responsible Officer of Seller certifying: # that no amendments have been made to the organizational documents of Seller, Pledgor and Guarantor since August 19, 2015, unless otherwise stated therein; and # the authority of Seller and Guarantor to execute and deliver this Amendment and the other Transaction Documents to be executed and delivered in connection with this Amendment.

A signed certificate from a Responsible Officer of Seller certifying: # that no amendments have been made to the organizational documents of Seller, Pledgor and Guarantor since December 10, 2015, unless otherwise stated therein; and # the authority of Seller, SMC and Guarantor to execute and deliver this Amendment and the other Transaction Documents, as applicable, to be executed and delivered in connection with this Amendment.

A signed certificate from a Responsible Officer of Seller certifying: # that no amendments have been made to the organizational documents of Seller, Pledgor and Guarantor since April 25, 2016, unless otherwise stated therein; and # the authority of Seller and Guarantor to execute and deliver this Amendment and the other Transaction Documents to be executed and delivered in connection with this Amendment.

A signed certificate from a Responsible Officer of Seller certifying: # that no amendments have been made to the organizational documents of Seller, Pledgor and Guarantor since April 25, 2016, unless otherwise stated therein; and # the authority of Seller and Guarantor to execute and deliver this Amendment and the other Transaction Documents to be executed and delivered in connection with this Amendment.

Responsible Officer.
