Responsibilities. The Joint Steering Committee shall be responsible for # reviewing the efforts of the JDC in the conduct of ongoing development activities and regulatory affairs with respect to Co-Funded Products under [Article 3], and resolving disputes as to matters to be decided by the JDC under this Agreement; # reviewing the efforts of the JCC in the conduct of promotional activities of the Parties with respect to Co-Promoted Products under [Article 4], and resolving disputes as to matters to be decided by the JCC under this Agreement and # taking such other actions as are specifically allocated to the Joint Steering Committee under this Agreement.

The responsibilities of the JDC shall consist of # overseeing the ongoing development of Co-Funded Product(s), # establishing Co-Development Plans and Budgets for Co-Funded Products, # monitoring and approving development activities under such Co-Development Plans and Budgets, # reviewing and approving regulatory correspondence, final study reports and submissions to Regulatory Authorities relating to Co-Funded Products, and # making such decisions as are expressly provided in [Article 3].

Vertex or its designated Affiliates and Sublicensees will have the sole authority to prepare and file Regulatory Filings, each in its own name, and applications for Regulatory Approval and Price Approval for any and all Products, and will have the sole responsibility for communicating with any Regulatory Authority both prior to and following Regulatory Approval and Price Approval, including all communications and decisions with respect to # pricing of Products and # the negotiation of Product pricing with Regulatory Authorities and other Third Parties.

The JCC shall have responsibility to monitor the conduct and progress of the commercialization strategy, plans, and budgets, including establishment of a plan and budget for the marketing, promotion, sale and distribution of such Co-Funded Product (each a “Sales and Marketing Plan”) and managing the promotional activities of the Parties with respect to Co-Promoted Products under [Article 4] above. JCC shall update the Sales and Marketing Plan periodically, and no less often than annually, and shall include therein detailed plans and budgets for the marketing, promotion, sale and distribution of each Co-Funded Product.
