Resignation From Positions. Unless otherwise requested by the Board in writing, upon Executive’s termination of employment with the Company for any reason Executive shall automatically resign as of Executive’s employment termination date all titles, positions and appointments Executive then holds with the Company or any of its affiliates, whether as an officer, director, trustee or employee (without any claim for compensation related thereto), and Executive hereby agrees to take all actions necessary to effectuate such resignations.

Resignation from Director Positions. In the event the Employee’s employment hereunder is terminated hereunder for any reason other than a termination by the Company without Cause, the Employee agrees, as applicable, to immediately resign from the Board of the Company and any and all committees or subcommittees of the Board on which the Employee serves. In furtherance of this Section 4.7, the Employee has delivered to the Company an executed irrevocable resignation in the form attached hereto as Exhibit A concurrently with the execution of this Agreement.

Resignation from Positions. Upon Executive’s cessation of employment with the Company for any reason, Executive agrees that Executive shall be deemed to have resigned as an officer and as a director (if applicable) from the Company and every subsidiary of the Company on which Executive is then serving as an officer or director, and from any other entity or company on which Executive is then serving as a director or officer at the request of the Company, in each case effective as of the date of Executive’s cessation of employment. In the event of Executive’s cessation of employment, Executive agrees to execute a general resignation resigning from all positions then held by Executive on every subsidiary of the Company and other entity or company on which Executive is then serving as a director or officer at the request of the Company. Executive hereby grants the corporate secretary of the Company an irrevocable power of attorney to execute on behalf of Executive all such resignations, documents and instruments and to take all such other actions as reasonably necessary to carry out the intention of this Section 19.

Upon termination of Executive’s employment for any reason, Executive shall promptly # resign from all positions (including, without limitation, any management, officer or director position) with the Company and its affiliates and # relinquish any power of attorney, signing authority, trust authorization or Company account signatory authorization that Executive may hold on behalf of the Company or its affiliates. Executive’s execution of this Agreement shall be deemed the grant by Executive to the officers of the Company and the Company of a limited power of attorney to sign in Executive’s name and on Executive’s behalf such documentation as may be necessary or appropriate for the limited purposes of effectuating such resignations and relinquishments.

Resignation from Positions. Unless otherwise requested by the Company in writing, upon termination of employment, for whatever reason, Employee shall be deemed to have resigned from any and all titles, positions and appointments Employee holds with the Company, Kohl’s Corporation or any of their subsidiaries or affiliates whether as an officer, director, employee, committee member, trustee or otherwise. Employee agrees to promptly execute such documents as the Company, in its sole discretion, shall reasonably deem necessary to effect such resignations.

Resignation from All Positions. Unless the parties otherwise agree in writing, upon the termination or resignation of Harris’s employment with [[Altimmune:Organization]] for any reason, Harris shall be deemed to have resigned, as of the date of such termination or resignation, from and with respect to all positions Harris then holds as an officer, director or employee with [[Altimmune:Organization]] and any of its affiliates.
