Residency. The residency of the Holder (or, in the case of a partnership or corporation, such entity’s principal place of business) is correctly set forth on the signature page hereto.

To the extent such Seller confirmed on the signature page hereto that it is a non U.S. Person, such Seller # is not acquiring Buyer Common Stock to be acquired by such Non-U.S. Seller pursuant to this Agreement for the account or benefit of any U.S. Person, # is not, at the time of execution of this Agreement, and will not be, at the time of the Closing, in the United States and # is not a “distributor” (as defined in Regulation S promulgated under the Securities Act).
