Executive has forty-five (45) days from the Date of this Agreement (the “Review Period”) within which to decide whether to sign this Release Agreement. If Executive signs this Release Agreement, Executive may revoke this Release Agreement if, within seven (7) days after signing (the “Revocation Period”), Executive delivers notice in writing to an Executive Compensation Manager of Company.

Executive hasmay sign this Release Agreement prior to the end of the forty-five (45) days fromday Review Period, thereby commencing the Date of this Agreement (the “Review Period”) within which to decide whetherseven (7) day Revocation Period. Whether Executive decides to sign this Release Agreement. If Executive signs this Release Agreement, Executive may revoke this Release Agreement if, within seven (7) days after signing (the “Revocation Period”), Executive delivers notice in writingbefore the end of the Review Period is entirely up to an Executive Compensation Manager of Company.Executive.

Acknowledgement and Revocation Period. Executive agrees that he has carefully read this Release and is signing it voluntarily. Executive acknowledges that he has had twenty-one (21) days from receipt of this Release to review it prior to signing or that, if Executive is signing this Release prior to the expiration of such twenty-one (21) day period, Executive is waiving his right to review the Release for such full twenty-one (21) day period prior to signing it. Executive has forty-five (45) days from the Date of this Agreement (the “Review Period”) within whichright to decide whether to sign this Release Agreement. If Executive signs this Release Agreement, Executive may revoke this Release Agreement if,release within seven (7) days after signing (the “Revocation Period”),following the date of its execution by her. In order to revoke this Release, Executive deliversmust deliver notice of the revocation in writing to anCompany’s General Counsel before the expiration of the seven (7) day period. However, if Executive Compensation Manager of Company.revokes this Release within such seven (7) day period, no severance benefit will be payable to him under the Employment Agreement and he shall return to the Company any such payment received prior to that date.

Effective Date; Revocation. Executive acknowledges and represents that he has forty-five (45)been given ​​ days fromduring which to review and consider the Dateprovisions of this Agreement (the “Review Period”) within whichand, specifically, the General Release set forth in [Section 1] above. Executive further acknowledges and represents that he has been advised by the Company that he has the right to decide whether to sign this Release Agreement. If Executive signs this Release Agreement, Executive may revoke this Release Agreement if, withinfor a period of seven (7) days after signing (the “Revocation Period”),it. Executive delivers noticeacknowledges and agrees that, if he wishes to revoke this Agreement, he must do so in writing to an Executive Compensation Managera writing, signed by him and received by the Company no later than ​ Eastern Time on the seventh (7th) day of Company.the revocation period. If no such revocation occurs, the General Release and this Agreement shall become effective on the eighth (8th) day following his execution of this Agreement.

Executive mayalso acknowledges that Executive can revoke this Release Agreement if, within seven (7) days afterof signing (the “Revocation Period”), Executive delivers notice in writingit by sending a letter to an Executive Compensation Manager of Company.that effect at the following address:

Review and Revocation Periods. Executive acknowledges that Executive has forty-five (45)been given at least twenty-one (21) days to consider this Agreement from the date that it was first given to Executive. Executive understands that after executing this Release, Executive has forty-five (45) days from the Date of this Agreement (the “Review Period”) within whichright to decide whether to sign this Release Agreement. If Executive signs this Release Agreement, Executive may revoke this Release Agreement if,it within seven (7) days after signing (the “Revocation Period”),his or her execution of it. Executive delivers noticeunderstands that this Release will not become effective and enforceable unless the seven (7) day revocation period passes and Executive does not revoke the Release in writing. Executive understands that this Release may not be revoked after the seven (7) day revocation period has passed.
