Conditions of Initial Credit Extension. The obligation of each Lender to make Loans, and the obligation of the L/C Issuers to issue Letters of Credit, on the Closing Date, is subject at the time of the making of such Loans or the issuance of such Letters of Credit to the satisfaction of the following conditions on or before such date:

Auto-Extension Letters of Credit. If the Borrower so requests in any applicable Letter of Credit Application, the applicable L/C Issuer may, in its sole and absolute discretion, agree to issue a Letter of Credit that has automatic extension provisions (each, an “Auto-Extension Letter of Credit”); provided that any such Auto-Extension Letter of Credit must permit such L/C Issuer to prevent any such extension at least once in each twelve-month period (commencing with the date of issuance of such Letter of Credit) by giving prior notice to the beneficiary thereof not later than a day (the “Non-Extension Notice Date”) in each such twelve-month period to be agreed upon at the time such Letter of Credit is issued. Unless otherwise directed by the applicable L/C Issuer, the Borrower shall not be required to make a specific request to such L/C Issuer for any such extension. Once an Auto-Extension Letter of Credit has been issued, the Revolving Lenders shall be deemed to have authorized (but may not require) the applicable L/C Issuer to permit the extension of such Letter of Credit at any time to an expiry date not later than the Letter of Credit Expiration Date; provided, however, that such L/C Issuer shall not permit any such extension if # such L/C Issuer has determined that it would not be permitted, or would have no obligation, at such time to issue such Letter of Credit in its revised form (as extended) under the terms hereof (by reason of the provisions of [clauses (ii) and (iii) of Section 2.03(a)])] or otherwise), or # it has received notice (which may be by telephone or in writing) on or before the day that is seven Business Days before the Non-Extension Notice Date # from the Adminis

“Request for Credit Extension” means # with respect to a Borrowing, a Loan Notice and # with respect to an L/C Credit Extension, a Letter of Credit Application.

Each request (or deemed request) by Borrower for any credit extension shall constitute a representation by Borrower that the foregoing conditions are satisfied on the date of the credit extension as to the matters specified in clauses (a), (b), (d), (f) (if applicable), # (if applicable), # (if applicable) and # (if applicable) above. As an additional condition to a credit extension, Agent may request any other information, certification, document, instrument or agreement as it deems necessary, in its Permitted Discretion, to support calculations in the Borrowing Base Report that Borrower has delivered in connection with such credit extension.

This is an Extension of Maturity Date Request pursuant to Section 2.8(a) of the Credit Agreement requesting an extension of the Maturity Date to ​. Please transmit a copy of this Extension of Maturity Date Request to each of the Lenders.

With respect to any Request for Credit Extension made during the period from the Closing Date until the Guarantor Trigger Date, the Lenders shall have no obligation to make any Credit Extension if such Credit Extension would cause the aggregate Outstanding Amount to exceed $100,000,000.

“Request for Credit Extension” means (a) with respect to a Borrowing, conversion or continuation of Loans, a Committed Loan Notice and (b) with respect to an L/C Credit Extension, a Letter of Credit Application.

. The obligation of each Lender to honor any Request for Credit Extension (other than a Request for Credit Extension requesting only a conversion of Loans to the other Type, or a continuation of Eurodollar Loans) is subject to satisfaction (or waiver) of the following conditions precedent:

Each Request for Credit Extension (other than a Request for Credit Extension requesting only a conversion of Loans to the other Type, or a continuation of Eurodollar Loans) submitted by the Borrower shall be deemed to be a representation and warranty by the Borrower that the conditions specified in [Sections 4.01(a) and (b)])] have been satisfied or waived on and as of the date of the applicable Credit Extension.

“Request for Credit Extension” means # with respect to a Borrowing, conversion or continuation of Committed Loans, a Committed Loan Notice, # with respect to a Bid Loan, a Bid Request, # with respect to an L/C Credit Extension, a Letter of Credit Application, and # with respect to a Swing Line Loan, a Swing Line Loan Notice.
