Extension. If the Employee violates the provisions of any of the preceding paragraphs of this [Section 1], the Employee shall continue to be bound by the restrictions set forth in such paragraph until a period of one year has expired without any violation of such provisions.

Extension. The Research Term may be extended one time, by one (1) year, by the Parties’ written agreement and the JSC’s approval of an amended Research Plan setting forth the research activities to be conducted by the Parties during such extension, and an amended Research Budget, which shall be agreed upon by the Parties in writing.

Extension. The Term of the Lease is hereby extended for a period of fifty-four (54) months and shall expire on May 31, 2028 (the “Extended Expiration Date”), unless sooner terminated in accordance with the terms of the Lease. That portion of the Term commencing the day immediately following the Prior Expiration Date (the “Extension Date”) and ending on the Extended Expiration Date shall be referred to herein as the “Extended Term”.

Each request (or deemed request) by Borrower for any credit extension shall constitute a representation by Borrower that the foregoing conditions are satisfied on the date of the credit extension as to the matters specified in clauses (a), (b), (d), (f) (if applicable), # (if applicable), # (if applicable) and # (if applicable) above. As an additional condition to a credit extension, Agent may request any other information, certification, document, instrument or agreement as it deems necessary, in its Permitted Discretion, to support calculations in the Borrowing Base Report that Borrower has delivered in connection with such credit extension.

“Request for Credit Extension” means # with respect to a Borrowing, conversion or continuation of Loans, a Loan Notice, and # with respect to a L/C Credit Extension, a Letter of Credit Application.

This is an Extension of Maturity Date Request pursuant to Section 2.8(a) of the Credit Agreement requesting an extension of the Maturity Date to ​. Please transmit a copy of this Extension of Maturity Date Request to each of the Lenders.

Borrowing Request. The Administrative Agent shall have received a Borrowing Request and/or notice of issuance of Letter of Credit relating to the initial credit extensions hereunder.

Advance Request. To obtain a Term Loan Advance, Borrower shall complete, sign and deliver an Advance Request (at least three (3) Business Days before the Advance Date other than the Closing Date, which shall be at least one (1) Business Day) to Agent. The Lenders shall fund the Term Loan Advance in the manner requested by the Advance Request provided that each of the conditions precedent set forth in Section 4 and applicable to such Term Loan Advance is satisfied as of the requested Advance Date.

Audit Request. Puma shall have the right during the term and for ​ thereafter to engage, at its own expense, an independent auditor reasonably acceptable to Pint to examine the Relevant Records in Pint’s or its Affiliates’ possession from time-to-time, but no more frequently than ​, as may be necessary to verify compliance with the terms of this Agreement. Such audit shall be requested in writing at least ​ in advance, and shall be conducted

Written Request. Unless otherwise determined by the Administrator in its sole discretion, SARs will be settled in Shares. If permitted in the Award Agreement, a Participant may request that any exercise of a SAR be settled for cash, but a Participant will not have any right to demand a cash settlement. A request for a cash settlement may be made only by a written request filed with the Corporate Secretary of the Company during the period beginning on the third business day following the date of release for publication by the Company of quarterly or annual summary statements of earnings and ending on the twelfth business day following that date. Within 30 days of the receipt by the Company of a written request to receive cash in full or partial settlement of a SAR or to exercise the SAR for cash, the Administrator will, in its sole discretion, either consent to or disapprove, in whole or in part, the written request. A written request to receive cash in full or partial settlement of a SAR or to exercise a SAR for cash may provide that, if the Administrator disapproves the written request, the written request will be treated as an exercise of the SAR for Shares.
