All representations and warranties of the Purchasers contained in this Agreement and the Transaction Documents shall be true and correct in all respects when made and shall be deemed to have been made again at and as of the Closing and shall then be true and correct in all respects (except that representations and warranties made as of a specified date, shall be true and correct only as of such specified date);

All representations and warranties of the PurchasersCompany and the Seller contained in this Agreement and the Transaction Documents shall be true and correct in all respects when made and shall be deemed to have been made again at and as of the Closing and shall then be true and correct in all respects (except that representations and warranties made as of a specified date, shall be true and correct only as of such specified date);

the representations and warranties of the Purchaserssuch Purchaser contained in this Agreement and the Transaction Documents shall be true and correct in all material respects when made(other than those representations and warranties that are qualified by materiality, which, in each case, shall be deemed to have been made again at and as of the Closing and shall then be true and correct in all respectsrespects) when made and as of the applicable Closing Date (except that representations and warranties made as of a specified date,specific date shall be required to be true and correct only as of such specified date)date only);

The representations and warranties of the PurchasersBuyer contained in this Agreement and the Transaction Documentsin any document delivered hereunder at Closing shall be true and correct in all material respects when madeas of the Closing Date with the same effect as though such representations and shall be deemed to havewarranties had been made or given again at and as of the Closing andDate, except for any representation or warranty expressly stated to have been made as or given as of a specified date, which, at the Closing Date, shall then be true and correct in all material respects (except that representations and warranties made as of a specified date, shall be true and correct only as of such specified date);the date expressly stated.

All of the representations and warranties of the Purchasers containedby Purchaser set forth in this Agreement and the Transaction Documents shall be true and correct in all material respects whenas if made and shall be deemed to have been made again at and as ofon the Closing and shall then be true and correct in all respects (except that representations and warranties made as of a specified date, shall be true and correct only as of such specified date);Date.

All of Purchaser’s representations and warranties of the Purchasers contained in this Agreement and the Transaction Documents shall be true and correct in all material respects when made and shall be deemed to have been made again at andalso as of the Closing and shall then be true and correct in all respects (except that representations and warranties made as of a specified date, shall be true and correct only as of such specified date);Date when remade.

Accuracy Of Representations. All of the representations and warranties ofmade by the Purchasers containedPurchaser in this Agreement shall have been true and correct as of the Transaction Documentsdate of this Agreement and shall be true and correct in all respects when made and shall be deemed to have been made again at and as of the Closing and shall then be true and correct in all respects (except thatDate as if made at the Closing Date (in each case other than those representations and warranties that are made as of a specified date, shallin which case as of such date), disregarding all qualifications or limitations as to “materiality” or any similar qualifications therein, except where such failure to be true and correct only as of such specified date);date, individually or in the aggregate, has not and would not reasonably be expected to prevent or materially impair or delay the Purchaser from performing its obligations under this Agreement and the other Transactional Agreements or from consummating the transactions contemplated hereby or thereby.

The representations and warranties of the PurchasersSeller contained in this Agreement and the Transaction Documentsin any document delivered hereunder at Closing shall be true and correct in all material respects when madeas of the Closing Date with the same effect as though such representations and shall be deemed to havewarranties had been made or given again at and as of the Closing andDate, except for any representation or warranty expressly stated to have been made or given as of a specified date, which, at the Closing Date, shall then be true and correct in all material respects (except that representations and warranties made as of a specified date, shall be true and correct only as of such specified date);the date expressly stated.

The representations and warranties of the Purchasers contained in this Agreement and the Transaction DocumentsPurchaser shall be true and correct in all material respects as of the date when made and shall be deemed to have been made again at and as of the Closing and shall then be true and correct in all respectsDate as though made at that time (except thatfor representations and warranties madethat speak as of a specified date,specific date), and the Purchaser shall have performed, satisfied and complied in all material respects with the covenants, agreements and conditions required by this Agreement to be true and correct only as of such specified date);performed, satisfied or complied with by the Purchaser at or prior to the Closing Date.

The representations and warranties of the Purchasers containedby Buyer set forth in this Agreement and the Transaction Documents shall be true and correct in all material respects when made and shall be deemed to have been made again at and as of the Closing and shall then be true and correct in all respects (except that representations and warranties made as of a specified date, shall be true and correct only as of such specified date);Date except for changes therein specifically contemplated by this Agreement;
