Representations and Covenants. The representations and warranties of the ​ contained in this Agreement shall be true in all material respects on and as of the Closing Date with the same force and effect as though made on and as of the Closing Date. Survival of Representations, Warranties and Covenants. All statements contained in this Agreement or in any certificate delivered by or on behalf of BUTTE, INTERLOK or SHAREHOLDERS pursuant hereto, or in connection with the actions contemplated hereby shall be deemed representations, warranties and covenants by SHAREHOLDERS, INTERLOK, and BUTTE as the case may be, hereunder. All representations, warranties, and covenants made by BUTTE or SHAREHOLDERS or INTERLOK in this Agreement, or pursuant hereto, shall survive the Closing for a period of two (2) years.

Entire Agreement. This Letter Agreement, including any exhibits hereto, embodies all of the representations, warranties, covenants and agreements in relation to the subject matter hereof. No other representations, warranties, covenants, understandings or agreements in relation hereto exist between the parties except as otherwise expressly provided herein.

Timberline hereby represents, warrants, covenants and agrees (and acknowledges that Vista is relying on such representations, warranties, covenants and agreements in entering into this Agreement) to the following:
