Representations and Agreements to Survive Delivery. The indemnity and contribution agreements contained in [Section 11] of this Agreement and all representations and warranties of the Company herein or in certificates delivered pursuant hereto shall survive, as of their respective dates, regardless of # any investigation made by or on behalf of the Agent, any controlling persons, or the Company (or any of their respective officers, directors or controlling persons), # delivery and acceptance of the Placement Shares and payment therefor or # any termination of this Agreement.

Survival of Representations, Warranties and Agreements. The representations, warranties and agreements contained herein shall survive the delivery of, and payment for, the securities.

Survival of Agreements. All covenants, agreements, representations and warranties made herein shall survive the execution and the delivery of Loan Documents. All statements contained in any certificate or other instrument delivered by Borrowers hereunder shall be deemed to constitute representations and warranties by Borrowers.

Covenants Survive Termination. Except to the extent otherwise expressly limited to a restricted period in [Section 6(a)] [Noncompetition], all covenants and provisions contained in this [Section 6] shall survive any termination of CEO’s employment with Company.

Survival. The representations and warranties contained herein shall survive the Closing and the delivery of the Shares.

All representations and warranties made by Borrower herein will survive the execution and delivery of this Amendment.

Section # Survival of Representations and Warranties. All representations, warranties, covenants and agreements in this Agreement shall not survive the Effective Time or the termination of this Agreement.

All representations, warranties and covenants contained herein shall survive the execution and delivery of this Agreement and the Closing.

Representations and Warranties. Borrowers, jointly and severally, represent and warrant with and to Agent and Lenders as follows, which representations and warranties shall survive the execution and delivery hereof:

Notwithstanding any right of EXAD fully to investigate the affairs of ​, EXAD shall have the right to rely fully upon the representations, warranties, covenants and agreements of ​ and the Members contained in this Agreement or in any document delivered by ​, the Members or any of their representatives, in connection with the transactions contemplated by this Agreement. All such representations, warranties, covenants and agreements shall survive the execution and delivery hereof and the Closing Date hereunder for 12 months following the Closing.
