The representations, warranties, covenants and agreements made in this Agreement, or any other agreement, certificate, document or instrument furnished pursuant hereto shall survive any investigation made by Purchaser and shall be true and accurate as of the Initial Closing.

Effect of Closing. All representations, warranties, covenantscovenants, and agreements madeof the parties contained in this Agreement, or in any instrument, certificate, opinion, or other agreement, certificate, document or instrument furnished pursuant hereto shall survive any investigation made by Purchaser andwriting provided for in it, shall be true and accuratecorrect as of the Initial Closing.Closing and shall survive the Closing of this Agreement.

All of the representations and agreementswarranties made by the parties hereto in this Agreement,Agreement or any other agreement, certificate, document or instrument furnished pursuant heretohereto, shall be continuing and shall survive the closing hereof and the consummation of the transactions contemplated hereby, notwithstanding any investigation at any time made by Purchaser and shall be true and accurate asor on behalf of the Initial Closing.any party hereto.

All representations, warranties,warranties and covenants and agreements made in this Agreement, or any other agreement, certificate, document or instrument furnished pursuant heretocontained herein shall survive any investigation made by Purchaserthe execution and shall be truedelivery of this Agreement and accurate as of the Initial Closing.

All of the representations, warranties, covenantscovenants, and agreements made by Seller and by Purchaser shall survive the Closing(s) for the period of time as set forth in this Agreement, or any other agreement, certificate, document or instrument furnished pursuant heretoContract, shall survive any investigation made bynot be merged therein for the benefit of Purchaser and shall be trueSeller and accurate as of the Initial Closing.their respective legal representatives, successors, and assigns.

Survival.
