Survival of Agreements. All covenants, agreements, representations and warranties made herein shall survive the execution and the delivery of Loan Documents. All statements contained in any certificate or other instrument delivered by Borrowers hereunder shall be deemed to constitute representations and warranties by Borrowers.

All covenants, agreements, representations and warranties made hereinhereunder, in the other Loan Documents and in any document, certificate or statement delivered pursuant hereto or in connection herewith shall survive the execution and the delivery of Loan Documents. All statements contained in any certificate or other instrument delivered by Borrowers hereunder shall be deemed to constitute representationsthis Agreement and warranties by Borrowers.the making of the Loans hereunder.

SECTION # Survival of Agreements.Agreement. All covenants, agreements, representations and warranties made by the Company herein and in the certificates or other instruments prepared or delivered in connection with or pursuant to this Agreement shall be considered to have been relied upon by the Lenders and shall survive the executionmaking by the Lenders of the Loans regardless of any investigation made by the Lenders or on their behalf, and shall continue in full force and effect as long as the deliveryprincipal of or any accrued interest on any Loan Documents. All statements contained inor any certificatefee or any other instrument delivered by Borrowers hereunder shall be deemed to constitute representationsamount payable under this Agreement is outstanding and warranties by Borrowers.unpaid or the Commitments have not been terminated.

All statements containedDocuments (as the case may be) are indefeasibly repaid in any certificate or other instrument delivered by Borrowers hereunder shall be deemedfull in cash to constitute representations and warranties by Borrowers.Lender.

This Agreement and all covenants, agreements, representations and warranties made herein and in the certificates delivered pursuant hereto shall survive the making by the Lender of the Loan and the execution and delivery to the deliveryLender of the Note, and shall continue in full force and effect so long as all or any of the Obligations are outstanding and unpaid unless a longer period is expressly set forth herein or in the other Loan Documents. All statements containedWhenever in this Agreement any certificate or other instrument delivered by Borrowers hereunderof the parties hereto is referred to, such reference shall be deemed to constitute representationsinclude the legal representatives, successors and warrantiesassigns of such party. All covenants, promises and agreements in this Agreement, by Borrowers.or on behalf of the Borrowers, shall inure to the benefit of the legal representatives, successors and assigns of the Agent and the Lender.
