Survival of Representation and Warranties. Borrower understands and agrees that Lender is relying upon the representations and warranties contained in the Agreement, including this Section 4, in extending the Loan to Borrower. Borrower further agrees that the foregoing representations and warranties, which are being made as of the date of this Agreement or any renewal, extension or modification of the Loan, shall be continuing in nature and shall remain in full force and effect until such time as the Indebtedness shall be paid in full.

Representation and Warranties; No Default. On the Effective Date, after giving effect to this Agreement, # the representations and warranties contained in Section 3 of this Agreement shall be true and correct and # no Default or Event of Default shall have occurred and be continuing.

Any representation or warranty made or deemed to be made by any Credit Party or any officer thereof in this Agreement, in any other Credit Document or in any certificate delivered in connection with this Agreement or any other Credit Document is incorrect, false or otherwise misleading in any material respect (except that such materiality qualifier shall not be applicable to any representations and warranties that already are qualified or modified by materiality in the text thereof) at the time it was made or deemed made;

Representation. Participant represents to the Company that Participant has reviewed with Participant’s own tax advisors the tax consequences of the Restricted Shares and the transactions contemplated by the Grant Notice and this Agreement. Participant is relying solely on such advisors and not on any statements or representations of the Company or any of its agents.
