Reporting Obligations. Until the earliest of the time that # [[Organization A:Organization]] no longer owns Securities, [[Organization B:Organization]] covenants to file all periodic reports with the Commission pursuant to Section 15(d) of the Exchange Act or alternatively, if registered under [Section 12(b) or 12(g)])] of the 1934 Act, maintain the registration of the Common Stock under Section 12(b) or 12(g) of the Exchange Act and to timely file (or obtain extensions in respect thereof and file within the applicable grace period) all reports required to be filed by [[Organization B:Organization]] after the date hereof pursuant to the Exchange Act even if [[Organization B:Organization]] is not then subject to the reporting requirements of the Exchange Act. At any time commencing on the Closing Date and ending at such time that all of the Securities may be sold without the requirement for [[Organization B:Organization]] to be in compliance with Rule 144(c)(1) and otherwise without restriction or limitation pursuant to Rule 144, if [[Organization B:Organization]] shall fail for any reason to satisfy the current public information requirement under Rule 144(c) (a “Public Information Failure”) then, in addition to [[Organization A:Organization]]’s other available remedies, [[Organization B:Organization]] shall pay to a [[Organization A:Organization]], in cash, as partial liquidated damages and not as a penalty, by reason of any such delay in or reduction of its ability to sell the Securities, an amount in cash equal to two percent (2.0%) of the aggregate Stated Value (as defined in the Certificates of Designations) of the Series L Preferred Shares and accrued interest held by such [[Organization A:Organization]] on the day of a Public Information Failure and on every thirtieth (30th) day (pro-rated for periods totaling less than thirty days) thereafter until the earlier of # the date such Public Information Failure is cured and # such time that such public information is no longer required for [[Organization A:Organization]] to transfer the Conversion Shares pursuant to Rule 144. The payments to which a [[Organization A:Organization]] shall be entitled pursuant to this Section 6(h) are referred to herein as “Public Information Failure Payments.” Public Information Failure Payments shall be paid on the earlier of # the last day of the calendar month during which such Public Information Failure Payments are incurred and # the third (3rd) Business Day after the event or failure giving rise to the Public Information Failure Payments is cured. In the event [[Organization B:Organization]] fails to make Public Information Failure Payments in a timely manner, such Public Information Failure Payments shall bear interest at the rate of one (1.0%) percent per month (prorated for partial months) until paid in full. Nothing herein shall limit [[Organization A:Organization]]’s right to pursue actual damages for the Public Information Failure, and [[Organization A:Organization]] shall have the right to pursue all remedies available to it at law or in equity including, without limitation, a decree of specific performance and/or injunctive relief.
Reporting. Borrowers # will deliver to Agent (and if so requested by Agent, with copies for each Lender) each of the reports set forth on [Schedule 5.2] to this Agreement at the times specified therein, and # agree to use commercially reasonable efforts in cooperation with Agent to facilitate and implement a system of electronic collateral reporting to provide electronic reporting of each of the items set forth on such Schedule.
Reporting. Each L/C Issuer will report in writing to the Administrative Agent # on the first Business Day of each calendar month, the aggregate face amount of Letters of Credit issued by it and outstanding as of the last Business Day of the preceding calendar month (and on such other dates as the Administrative Agent may request), # on or prior to each Business Day on which such L/C Issuer expects to issue, amend, renew or extend any Letter of Credit, the date of such issuance or amendment, and the aggregate face amount of Letters of Credit to be issued, amended, renewed or extended by it and outstanding after giving effect to such issuance, amendment, renewal or extension (and such L/C Issuer shall advise the Administrative Agent on such Business Day whether such issuance, amendment, renewal or extension occurred and whether the amount thereof changed), # on each Business Day on which such L/C Issuer makes any L/C Disbursement, the date and amount of such L/C Disbursement and # on any Business Day on which the Borrower fails to reimburse an L/C Disbursement required to be reimbursed to such L/C Issuer on such day, the date and amount of such failure.
Reporting. The Company will maintain, for itself and each Subsidiary, a system of accounting enabling it to provide, and will furnish to the Lenders:
Reporting. On the Wednesday of each week, by no later than 5:00 p.m. (Central Time), or such other time and day of the week as Borrowers and Administrative Agent may agree, Loan Parties shall provide Administrative Agent (in form and detail satisfactory to Administrative Agent and certified by the chief financial officer of Borrowers) with: # a calculation of Actual Liquidity as of the end of the last Business Day of the prior week, and # a variance report that details Loan Parties' actual receipts and expenditures through the end of the immediately preceding week, on a line-item by line-item basis, against the Budget for the preceding week, on a cumulative basis for the preceding four-weeks,.
Reporting. Commercializing Party shall keep Licensor reasonably informed of Commercializing Party’s and its sublicensees’ Commercialization activities concerning the Licensed Protocol, the Kaufmann Name and/or the Kaufmann Intellectual Property. Without limiting the foregoing, within thirty (30) days following the end of each calendar quarter (commencing for the calendar quarter ending December 31, 2021), Commercializing Party shall provide Licensor with a written report summarizing the significant Commercialization activities performed with respect to the Licensed Protocol, the Kaufmann Name and/or the Kaufmann Intellectual Property since the date of the last report. Such reports must be at a level of detail reasonably requested by Licensor.
Reporting. Nothing in this Agreement, including the Non-Disparagement provision in Section 10(b) above, shall be construed to prohibit Executive from reporting conduct to, providing truthful information to or participating in any investigation or proceeding conducted by any federal or state government agency or self-regulatory organization.
Reporting. The Borrower will maintain for itself, or cause to be maintained, a system of accounting established and administered in accordance with GAAP and furnish or cause to be furnished to the Administrative Agent, each Lender and each Hedge Counterparty, if any, and, in the case of Monthly Reports, Monthly Loan Tapes and notices of material events, each Lender, the Securities Intermediary and the Backup Servicer:
Reporting. The Master Servicer will provide the following reports to the Participant, which reports may be transmitted via e-mail to [email address redacted] and [email address redacted] or in such other form as may be agreed between the Participant and the Master Servicer:
AE Reporting. Provider agrees to maintain, on a continuous basis, designated staff and resources for prompt management of technical complaints and adverse event reports related to the Product. Provider shall within twenty-four (24) hours notify Company, if it receives any information that relates, refers or pertains to adverse events. Reporting shall be done using the form provided by Company. Adverse event reports shall be provided to Company in a manner mutually agreed to by the parties.
