Reporting. Each Party shall be responsible for calculating, tracking and reporting transfers of value initiated and controlled by its employees or contractors pursuant to its respective obligations under the requirements of Section 6002 (Transparency Reports and Reporting of Physician Ownership and Investment Interest) of the Patient Protection and Affordable Care Act, commonly referred to as the “Sunshine Act”, and applicable state marketing reporting laws. Subject to Applicable Laws and Guidelines, the value reported to the Centers for Medicare & Medicaid Services (“CMS”) shall be the amount expended by the controlling Party, irrespective of the division of or reconciliation of expenses between the Parties.

Following the receipt of such report, Fulcrum and [[MyoKardia:Organization]] shall reasonably cooperate to resolve any questions pertaining to the Anticipated Research Budget. Fulcrum shall promptly notify [[MyoKardia:Organization]] in writing of any material changes to the Anticipated Research Budget and provide an updated report reflecting any such material changes to the Anticipated Research Budget. Following the end of the Research Term and, on a Target-by-Target basis, until the First Commercial Sale of a Product for any Target, [[MyoKardia:Organization]] shall provide a written report to Fulcrum within ​ after the end of each Calendar Year during the Term that summarizes [[MyoKardia:Organization]]’s exercise of efforts with respect to advancing Products to Regulatory Approval in accordance with Section 4.2 (Diligence Requirements) under this Agreement, including matters relating to seeking Regulatory Approval therefor. Notwithstanding anything to the contrary in this Agreement (including Section 4.2 (Diligence Requirements)), [[MyoKardia:Organization]] will have no obligation to negotiate agreements to obtain additional rights to satisfy its obligations in Section 4.2 (Diligence Requirements). [[MyoKardia:Organization]] shall also provide, in such annual reports, a summary of its anticipated activities with respect to the advancing such Products to Regulatory Approval for the following Calendar Year.

Reporting. Patheon will give Client a quarterly inventory report of the Active Materials held by Patheon using the inventory report form set out in [Schedule F], which will contain the following information for the quarter:

Issuer agrees that it will promptly, and in any event within # five Business Days, after receipt of any written request therefore from Holder deliver to Holder any financial statements, notices, reports or other information delivered by or on behalf of Issuer to the Senior Agent pursuant to [Section 7.01(a)] of the Senior Financing Agreement. For avoidance of doubt, Issuer shall not deliver any material non-public information to Holder unless specifically requested by Issuer in writing.

Each LC Issuer will report in writing to the Administrative Agent # on the first Business Day of each calendar month, the aggregate face amount of Letters of Credit issued by it and outstanding as of the last Business Day of the preceding calendar month (and on such other dates as the Administrative Agent may request), # on or prior to each Business Day on which such LC Issuer expects to issue, amend, renew or extend any Letter of Credit, the date of such issuance or amendment, and the aggregate face amount of Letters of Credit to be issued, amended, renewed or extended by it and outstanding after giving effect to such issuance, amendment, renewal or extension (and such LC Issuer shall advise the Administrative Agent on such Business Day whether such issuance, amendment, renewal or extension occurred and whether the amount thereof changed), # on each Business Day on which such LC Issuer makes any LC Disbursement, the date and amount of such LC Disbursement and # on any Business Day on which the Borrowers fail to reimburse an LC Disbursement required to be reimbursed to such LC Issuer on such day, the date and amount of such failure.

Reporting. Each L/C Issuer will report in writing to the Administrative Agent # on the first Business Day of each calendar month, the aggregate face amount of Letters of Credit issued by it and outstanding as of the last Business Day of the preceding calendar month (and on such other dates as the Administrative Agent may request), # on or prior to each Business Day on which such L/C Issuer expects to issue, amend, renew or extend any Letter of Credit, the date of such issuance or amendment, and the aggregate face amount of Letters of Credit to be issued, amended, renewed or extended by it and outstanding after giving effect to such issuance, amendment, renewal or extension (and such L/C Issuer shall advise the Administrative Agent on such Business Day whether such issuance, amendment, renewal or extension occurred and whether the amount thereof changed), # on each Business Day on which such L/C Issuer makes any L/C Disbursement, the date and amount of such L/C Disbursement and # on any Business Day on which the Borrower fails to reimburse an L/C Disbursement required to be reimbursed to such L/C Issuer on such day, the date and amount of such failure.

Reporting. The Borrower will maintain for itself, or cause to be maintained, a system of accounting established and administered in accordance with GAAP and furnish or cause to be furnished to the Administrative Agent, each Lender and each Hedge Counterparty, if any, and, in the case of Monthly Reports, Monthly Loan Tapes and notices of material events, each Lender, the Securities Intermediary and the Backup Servicer:
