This Swingline Note is entitled to the benefits of, and evidences Obligations incurred under, the Credit Agreement, to which reference is made for a description of the security for this Swingline Note and for a statement of the terms and conditions on which the Borrower is permitted and required to make prepayments and repayments of principal of the Obligations evidenced by this Swingline Note and on which such Obligations may be declared to be immediately due and payable.

This SwinglineSwing Line Note is one of the Swing Line Notes referred to in the Credit Agreement, is entitled to the benefits of,thereof and evidences Obligations incurred under, the Credit Agreement,may be prepaid in whole or in part subject to which reference is made for a description of the security for this Swingline Note and for a statement of the terms and conditions on whichprovided therein. Upon the Borrower is permittedoccurrence and required to make prepayments and repaymentscontinuation of principalone or more of the Obligations evidenced byEvents of Default specified in the Agreement, all amounts then remaining unpaid on this SwinglineSwing Line Note and on which such Obligationsshall become, or may be declared to bebe, immediately due and payable.payable all as provided in the Credit Agreement. Swing Line Loans made by the Lender shall be evidenced by one or more loan accounts or records maintained by the Lender in the ordinary course of business. The Lender may also attach schedules to this Swing Line Note and endorse thereon the date, amount and maturity of its Swing Line Loans and payments with respect thereto.
