Executive’s employment under this Agreement shall commence on the date first set forth above (the “Commencement Date”). Executive’s employment shall continue thereafter until the third anniversary of the Commencement Date (the “Initial Term”); and shall be automatically extended for one (1) additional year (a “Renewal Term”) at the end of the Initial Term, and an additional one (1) year Renewal Term at the end of each Renewal Term (the last day of the Initial Term and each such Renewal Term is referred to herein as a “Term Date”), unless either Party provides written notice to the other of its non-renewal of this Agreement not later than sixty (60) days prior to a Term Date, or Executive’s employment is terminated sooner under paragraph 3 of this Agreement. The period during which Executive’s employment continues in effect pursuant to this Agreement is hereinafter referred to as the Employment Period.

Term - the initial term of the Agreement or any renewal or extension.

Term of this Agreement. Subject to Section 4 below, the initial term of this Agreement (the “Initial Term”) shall be for a period commencing on the Effective Date and ending on December 31, 2017; provided at the end of the Initial Term, the term will automatically renew for successive one (1) year periods (each, a “Renewal Term”, and collectively with the Initial Term, the “Term”) unless either party delivers written notice of non-renewal to the other party at least sixty (60) days prior to the expiration of the then-current initial Term or Renewal Term.

“Following the Term, the Agreement will renew for an additional 5-month term (the “Renewal Term”).

effective upon each Renewal Term Commencement Date, # the Base Tax Rate shall be deemed to be an amount equal to the Taxes for the Tax Year prior to the one in which each Renewal Term Commencement Date shall occur and # the Operating Expense Base shall be deemed to be an amount equal to the Operating Expenses for the Operating Year prior to the one in which each Renewal Term Commencement Date shall occur.

Term of Employment. Subject to the rights of termination by you and the Company set forth in this Letter Agreement, your employment will be extended on the Commencement Date and continue for a period of # years thereafter (the “Term”), subject to renewal for an additional one-year period (the “Renewal Term”) upon approval by the Board, unless your employment has been terminated prior thereto by either you or the Company. If you desire to extend your employment for the Renewal Term, you will submit a written request for such renewal to the Board no sooner than twelve (12) months and no later than two (2) months prior to the expiration of the Term. Within thirty (30) days of receipt of such written request, the Board (in consultation with the Company’s Compensation Committee) will advise you whether such renewal has been approved.

Term. The initial term will end on the three (3) year anniversary of the Effective Date, and will automatically renew for successive one (1) year renewal terms until Expedia or Decolar provides the other with notice of its intent not to renew at least thirty (30) days prior to the end of the then-current term (the initial term, together with any renewal term(s), the “Term”).

"Renewal Term" has the meaning set forth in Section 14.

Term. For the avoidance of doubt, the Term of the Lease applicable to the Expansion Space will expire at 11:59 p.m. CT on April 30, 2028, subject to [[Organization B:Organization]]'s renewal option as set forth in Article 3 of the Lease.

Term. The maximum term of each Option granted to a Non-Employee Director hereunder shall be ten (10) years from the date the Option is granted.
