upon the expiration of the Initial Term or any Renewal Term unless the Company or Executive delivers to the other at least ninety (90) days prior to the expiration of the Initial Term or the then-current Renewal Term, as the case may be, a written notice (pursuant to [Section 14] of this Agreement) specifying that the term of Executive’s employment will not be renewed at the end of the Initial Term or the then-current Renewal Term, as the case may be. Like the Initial Term, the then-current Renewal Term is subject to earlier termination pursuant to the terms herein. The Executive’s period of employment hereunder is referred herein as the “Employment Term,” whether the Initial Term, the then-current Renewal Term or the shorter period through the date of an earlier termination thereof as provided elsewhere herein. The notice of non-renewal given by the Company is referred to herein as the “Company’s Non-Renewal.” The notice of non-renewal given by Executive is referred to herein as the “Executive’s Non-Renewal.”

The Original Term of Employment shall be automatically renewed for successive one-year terms (the “Renewal Terms”) so long as ​ does not, prior to 60 days before such expiration date, deliver a notification of non-renewal to ​ stating that ​ is electing to terminate this Agreement at the expiration of the then current Term of Employment. “Term of Employment” shall mean the Original Term of Employment and all Renewal Terms. In the event that this Agreement is not renewed because ​ has given the 60-day notice prescribed in the preceding paragraph on or before the expiration of the Original Term of Employment or any Renewal Term, such non-renewal shall be treated as a “Termination Without Cause” as set forth in Section 5; provided that ​ is willing and able to execute a new contract providing terms and conditions substantially similar to those in this Agreement and to continue providing services to ​.

Unless sooner terminated as provided in [Section 4], the Executive’s term of employment under this Agreement shall run for a period of three (3) years, plus one month, from the Effective Date to June 30, 2023 (the “Initial Term”); provided that, the Executive’s term of employment under this Agreement will automatically be extended for one additional year commencing on June 30, 2023 and on each annual anniversary of such date thereafter (each, a “Renewal Term”), unless terminated earlier under [Section 4] or unless the Company gives written notice of non-renewal to the Executive at least ninety (90) days before the expiration of the Initial Term or then-current Renewal Term, as applicable.
