This includes, without limitation, the release of all Claims: relating toare connected with my employment bywith, or my separation or termination from, the Company and my separation from employment; of wrong discharge; of breach of contract; of retaliation(including, but not limited to, any allegation, claim or discrimination under federal, state or local law (including, without limitation, Claims of age discrimination or retaliation in Employment Act, Claims of disability or retaliation under the American with Disabilities Act, Claims of discrimination or retaliation underviolation, arising under: Title VII of the Civil Rights Act of 1964, and Claims of any form of discrimination or retaliation that is prohibited byas amended; the Tennessee Civil Rights Act of 1991; the Age Discrimination in Employment Act of 1967, as amended (including the Older Workers Benefit Protection Act); the Equal Pay Act of 1963, as amended; the Americans with Disabilities Act of 1990; the Family and Medical Leave Act of 1993; the Worker Adjustment Retraining and Notification Act; the Employee Retirement Income Security Act of 1974; the Genetic Information Nondiscrimination Act of 2008; any applicable Executive Order Programs; the Fair Labor Standards Act; or law of any other state);their state or local counterparts; or under any other federal, state or local civil or human rights law, or under any other local, state, or federal law, regulation or state statute;ordinance; or under any public policy, contract or tort, or under common law; or arising under any policies, practices or procedures of defamationthe Company; or any claim for wrongful discharge, breach of contract, infliction of emotional distress, defamation; or any claim for costs, fees, or other torts;expenses, including attorneys’ fees incurred in these matters) (all of violation of public policy; for wages, bonuses, incentive compensation, vacation pay or any other compensation, vacation pay or any other compensation or benefits; and for damages or remedies of any sort, including, without limitation, compensatory damages, punitive damages, injunctive relief and attorney’s fees; provided, however, that this release shall not affect my rights under the Company’s [Section 401(k)] plan, my rightsforegoing collectively referred to herein as the Separation Benefits under the Employment Agreement, my rights to indemnification under the Indemnification Agreement between the Company and me (the “Indemnification Agreement”Claims), my rights to Directors’ and Officers’ insurance, my rights to any vested equity awards, my rights to file an administrative charge or complaint with the Equal Employment Opportunity Commission or other administrative agency, and any rights and claims that cannot be waived by law..

Release of Claims.In exchange for the consideration provided to me by the Employment Agreement that I voluntarilyam not otherwise entitled to receive, I hereby generally and completely release the Company and forever discharge the Company, its parents, subsidiaries, and affiliated entities, and each of those entities’ respective current and former shareholders, investors, directors, officers, employees, stockholders, partners, agents, attorneys, predecessors, successors, parent and subsidiary entities, insurers, legal successorsaffiliates, and assigns (collectively referred to as(collectively, the “Releasees”“Released Parties”) generally from any and all claims, demands, debts, damagesliabilities and liabilitiesobligations, both known and unknown, that arise out of every name and nature, known or unknown (“Claims”) that, as ofare in any way related to events, acts, conduct, or omissions occurring prior to or on the date whenthat I sign this Release, I have, ever had, now claim to haveAgreement (collectively, the “Released Claims”). The Released Claims include, but are not limited to: (a) all claims arising out of or ever claimed to have had againstin any or all of the Releasees. This includes, without limitation, the release of all Claims: relatingway related to my employment bywith the Company, or the termination of that employment; (b) all claims related to my compensation or benefits from the Company and my separation from employment; of wrong discharge; ofincluding salary, bonuses, commissions, vacation pay, expense reimbursements, severance pay, fringe benefits, stock, stock options, or any other ownership interests in the Company; (c) all claims for breach of contract;contract, wrongful termination, and breach of retaliationthe implied covenant of good faith and fair dealing; (d) all tort claims, including claims for fraud, defamation, emotional distress, and discharge in violation of public policy; and (e) all federal, state, and local statutory claims, including claims for discrimination, harassment, retaliation, misclassification, attorneys’ fees, or discrimination under federal, state or local law (including, without limitation, Claims of age discrimination or retaliation in Employment Act, Claims of disability or retaliationother claims arising under the American with Disabilities Act, Claims of discrimination or retaliation under Title VII of thefederal Civil Rights Act of 1964,1964 (as amended), the federal Americans with Disabilities Act of 1990, the federal Age Discrimination in Employment Act of 1967 (as amended) (the “ADEA”), the California Labor Code, and the California Fair Employment and Housing Act (as amended). Notwithstanding the foregoing, the following are not included in the Released Claims of(the “Excluded Claims”): (a) any form of discriminationrights or retaliation that is prohibited by the Tennessee Civil Rights Act or law of any other state); under any other federal or state statute; of defamation or other torts; of violation of public policy;claims for wages, bonuses, incentive compensation, vacation pay or any other compensation, vacation pay or any other compensation or benefits; and for damages or remedies of any sort, including, without limitation, compensatory damages, punitive damages, injunctive relief and attorney’s fees; provided, however, that this release shall not affect my rights under the Company’s [Section 401(k)] plan, my rightsindemnification I may have pursuant to the Separation Benefits under the Employment Agreement, my rights to indemnification under the Indemnification Agreement betweencharter or bylaws of the Company and me (the “Indemnification Agreement”),or under applicable law; (b) any rights or claims to unemployment compensation, funds accrued in my rights to Directors’ and Officers’ insurance, my rights to401k account, or any vested equity awards, my rights to file an administrative charge or complaint with the Equal Employment Opportunity Commission or other administrative agency, andincentives; (c) any rights that are not waivable as a matter of law; or (d) any claims arising from the breach of this Agreement. I hereby represent and warrant that, other than the Excluded Claims, I am not aware of any claims I have or might have against any of the Released Parties that cannot be waived by law.are not included in the Released Claims.
