This Plan and the rights of all persons claiming hereunder shall be construed and determined in accordance with the laws of the State of New Jersey without giving effect to the choice of law principles thereof, except to the extent that such law is preempted by federal law.

Government and Other Regulations. The obligation of the Company to make payment of bonuses shall be subject to all applicable laws, rules and regulations and to such approvals by governmental agencies as may be required.

Government and Other Regulations. The obligation of PPL Corporation to make payment for any Awards shall be subject to all applicable laws, rules and regulations, and to such approvals by any government agencies as CLC may determine in its sole discretion to be required.

CPCN and Other Approvals. The DPSC shall have authorized Buyer and Seller to consummate the transactions contemplated hereby in connection with the joint application pursuant to 26 Del. C. § 215.

Municipal and Other Approvals. If Purchaser does not terminate this Agreement prior to the expiration of the Due Diligence Period, Purchaser shall # comply with, at its sole cost and expense, all municipal requirements in connection with the transfer of the Property, including but not limited to, obtaining a certificate of occupancy of the Property, if required by the municipality and # indemnify and hold Seller harmless from any damages, loss, cost or expenses Seller may suffer as a result of Purchaser’s failure to so comply, including, but not limited to, reasonable attorneys’ fees and expenses.

Governing Law. This Agreement shall be construed in accordance with and governed by the law of the State of New York.

Governing Law. This Amendment, the Loan Agreement AND THE OTHER LOAN DOCUMENTS, UNLESS OTHERWISE SPECIFIED, SHALL BE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, WITHOUT GIVING EFFECT TO ANY CONFLICT OF LAW PRINCIPLES THAT WOULD CAUSE THE LAWS OF ANOTHER JURISDICTION TO APPLY (BUT GIVING EFFECT TO FEDERAL LAWS RELATING TO NATIONAL BANKS).

Governing Law. The validity, interpretation and enforcement of this Amendment No. 6 and the other Financing Agreements (except as otherwise provided therein) and any dispute arising out of the relationship between the parties hereto, whether in contract, tort, equity or otherwise,

Governing Law. This Release is made and entered into in the State of Florida and shall in all respects be interpreted, enforced, and governed under the law of that state, without reference to conflict of law provisions thereof.
