Inventory Reports. An Inventory Report (and any schedules related thereto and including any other information reasonably requested by Bank with respect to Borrower’s Inventory) within thirty (30) days after the end of each month;

Records and Reports of Inventory. Each Borrower shall keep accurate and complete records of its Inventory.

Records and Reports of Inventory. Each Obligor shall keep accurate and complete records of its Inventory in all material respects, including with respect to any returns of Inventory to a supplier, vendor or other Person, costs and daily withdrawals and additions and shall submit to Administrative Agent inventory and reconciliation reports in form satisfactory to Administrative Agent, on such periodic basis as Administrative Agent may request. Each Obligor shall conduct periodic cycle counts consistent with historical practices, and shall provide to Administrative Agent a report based on such counts on an annual basis, together with such supporting information as Administrative Agent may request. Administrative Agent may participate in and observe each physical count or periodic cycle count.

Records and Reports. [[Savara:Organization]] shall maintain, in accordance with its normal and customary practices, records of all work conducted by it, its Affiliates or sublicensees regarding the Commercialization of Licensed Products (the “Commercialization Records”). [[Savara:Organization]] shall provide written reports on its Commercialization of the Licensed Product, in a form reasonably acceptable to [[Grifols:Organization]], detailing all Commercialization work conducted by it, its Affiliates or sublicensees during the previous calendar quarter, in which case such Commercialization Records shall be delivered to [[Grifols:Organization]] on a calendar quarter basis; provided, that [[Grifols:Organization]] may request two (2) additional such reports from [[Savara:Organization]] during any calendar year.

. Each Loan Party keeps correct and accurate records itemizing and describing the type, quality, and quantity of its and its Subsidiaries’ Inventory and the book value thereof.

Records and Reports of Inventory. Each Borrower and Canadian Subsidiary Guarantor shall keep accurate and complete records of its Inventory and shall furnish the Administrative Agent, the Collateral Agent and Lenders inventory reports respecting such Inventory in form and detail satisfactory to the Administrative Agent and Lenders with each delivery of a Borrowing Base Certificate that requires the calculation of subclause (b)(x) from the definitions of Canadian Borrowing Base, U.S. FILO Borrowing Base and U.S. Borrowing Base pursuant to [Section 9.17(a)]. Each Borrower and each Canadian Subsidiary Guarantor shall, at its own expense, conduct a physical inventory no less frequently than annually and periodic cycle counts consistent with such Borrower’s or such Canadian Subsidiary Guarantor’s historical practices and shall provide to the Administrative Agent and Lenders a report based on each such physical inventory and cycle count promptly after completion thereof, together with such supporting information as Administrative Agent or the Collateral Agent shall request. The Administrative Agent may participate in and observe each physical count of inventory, which participation shall be at the Borrowers’ expense at any time that an Event of Default exists.

Inventory Records. The Borrower keeps correct and accurate records itemizing and describing the type, quality, and quantity of its and its Subsidiaries’ Inventory and the book value thereof.

Records and Reports. [[Savara:Organization]] shall maintain complete, current and accurate records of # all work conducted by it, its Affiliates or sublicensees under the Development Plan or any Additional Development Plan; # all data, Know-How and Patents resulting from such work; and # all Development Costs incurred in connection therewith (collectively, the “Development Records”). Within ten (10) days of the end of each calendar quarter during the Term, [[Savara:Organization]] shall provide [[Grifols:Organization]] with written reports, in a form to be reasonably approved by [[Grifols:Organization]], detailing all Development Records for such calendar quarter; provided, that [[Grifols:Organization]] may request up to two (2) additional Development Records from [[Savara:Organization]] and [[Savara:Organization]] shall produce such Development Records in any calendar year. The Parties shall review all such reports on a quarterly basis.

By adding the following immediately after the last sentence appearing in [Section 9.1.1] of the Loan Agreement:

Inventory Reports. Commencing no later than the first full calendar quarter after SAVARA provides the first Rolling Forecast pursuant to Section 4.1 below, within thirty (30) days after the end of each calendar quarter, GEMA shall provide to SAVARA a quarterly written report outlining the amount of its inventory of all critical Materials (as such critical Materials are identified by SAVARA from time to time).
