Prohibition Against Recording. Except as provided in Section 29.4 of this Lease, neither this Lease, nor any memorandum, affidavit or other writing with respect thereto, shall be recorded by Tenant or by anyone acting through, under or on behalf of Tenant.

Private Recording Systems. [[Organization C:Organization]] reserves the right to require or permit that any or all Participated Mortgage Loans be registered and processed on the MERS® System and/or any other similar mortgage registration or processing system (collectively, “Private Recording System”). Should [[Organization C:Organization]] require or permit the registration or processing of any or all Participated Mortgage Loans on any Private Recording System: # each such Participated Mortgage Loan shall be registered and processed on the Private Recording System approved by [[Organization C:Organization]] in accordance with the requirements of the Warehouse Program Guide; and # [[Organization C:Organization]] may terminate and revoke any such requirement or permission regarding the registration and processing of any such Participated Mortgage Loans on any Private Recording System.

Filing and Recording Taxes. All transfer taxes, deed stamps, intangible taxes or other amounts in the nature of transfer taxes required to be paid by any Person under applicable Legal Requirements currently in effect in connection with the transfer of the Property to [[Borrower:Organization]] have been paid.

No Recording of Lease. Tenant hereby acknowledges and agrees that it shall not record this Lease or any notice or memorandum of this Lease in any land evidence records or any other public record without the express prior written consent of Landlord. Landlord hereby consents to Tenant recording a short form notice of lease, provided that it is reasonably acceptable to Landlord’s counsel, and provided that Tenant provides Landlord with an executed termination of notice of lease, which Landlord may record upon the expiration or sooner termination of this Lease. In the event of any such unauthorized recording, Tenant shall be in default of this Agreement and Landlord shall have all rights and remedies available under law or in equity as a result of such recordation including, without limitation, the right to terminate this Lease. In addition to the foregoing, Tenant hereby appoints Landlord as its attorney in fact to record any and all documents necessary to clear record title to the Premises in the event Tenant breaches the provisions of this Section 24 by recording a memorandum of lease or other similar document in the Records of Land Evidence in the City of Providence.

Final Plat Recording & 911 Addresses. Finalization and recording of the proposed plat and Seller’s delivering a copy thereof to Buyer on or before the Closing Date. The plat shall be deemed finalized after all required governmental approvals have been obtained, said plat has been duly recorded in the real property records of the applicable County Clerk’s office, corresponding 911 addresses have been provided by the Seller to the Buyer.

Telephone Monitoring, Recording and Contacts. Merchant and Principal(s) agree that any call between Purchaser (and its agents, employees, and representatives), Merchant, (and its agent, employee or representative of Merchant), and/or

RECORDING. This Agreement shall not be recorded and the act of recording by [[Purchaser:Organization]] shall be an act of default hereunder by [[Purchaser:Organization]] and shall be subject to the provisions of Section 11.

the cost of recording the Deed;

All fees payable to the Title Company in connection with the Closing, other than the premium for the Title Policy, shall be split evenly between the Parties. Buyer shall pay all recording fees associated with the delivery and recording of the Deed.

Acquisitions may also result in our recording of significant additional expenses to our results of operations and recording of substantial finite-lived intangible assets on our balance sheet upon closing. Any of these factors may adversely affect our financial condition or results of operations.
