Recalls or Corrective Action. As between the parties, Arcus shall have sole responsibility for and shall make all decisions with respect to any recall, market withdrawal or other corrective action related to the Licensed Products in the Territory. Arcus shall use Commercially Reasonable Efforts to consult with WuXi before making any such recall, market withdrawal, or taking other corrective action that relates to services performed by WuXi for Arcus, and shall in any event notify WuXi within hours after initiating any recall or market withdrawal of the Licensed Products.
Recalls or Corrective Actions. TLC Hong Kong shall fully cooperate with TLC in TLCs decisions or upon related government authoritys request, to recall, retrieve and/or replace its TLC Products.
Cost of Corrective Action. Except as otherwise specified in this Contract, all corrective actions to be taken by the Contractor including under this Article 12 shall be at the Contractor´s cost and expense, including all costs arising from charges for packaging, shipping, insurance, taxes, and other matters associated with corrective actions.
Product Recalls. Prior to [[Organization A:Organization]] proceeding with the In-Licensing, in the event that a governmental entity issues a request, directive, or order, or determines, in its sole discretion, to recall or retrieve some or all of the Lead Compound by way of a recall, market withdrawal or other corrective action (Recall), shall, in cooperation with [[Organization A:Organization]], as reasonably requested by [[Organization A:Organization]], conduct such Recall (and any subsequent investigation by into the cause of the Recall). shall make every reasonable effort to notify [[Organization A:Organization]] promptly following its determination that any event, incident, or circumstance has occurred that may result in a need for a Recall. shall have the sole right to determine whether to conduct and control a Recall; provided, that to the extent practicable, shall consult with [[Organization A:Organization]], through a special meeting of the JDC, prior to any implementation of any such Recall. If a Recall is mandated by a Regulatory Authority, shall initiate such a Recall in compliance with Applicable Law. [ ].
Corrective Allocations. If necessary, the Company will make corrective allocations as set forth in Treasury Regulation Section 1.704-1(b)(4)(x).
Corrective Contributions. If, with respect to any Plan Year, # an error is made in crediting Company Matching Contributions or earnings to a Participants Account, # an error is made with respect to the administration of the Participants Account or with respect to the investment of the assets of the Trust Fund, or # a market value adjustment is made upon termination of an investment, which error or market value adjustment results in an incorrect amount being credited to the Participants Account or to any amount being incorrectly deducted from a Participants Account, remedial action may be taken to correct such error or adjustment in accordance with this [Section 4.4(e)]. In such event, the Account balances of such affected Participants may be adjusted to the extent necessary to reflect the Account balances which would have existed had no such error or adjustment been made. The Employer may make additional contributions to the Account of any affected Participant to place the affected Participants Account in the position that would have existed if the error or adjustment had not been made. Any Account adjustments or additional contributions made under this [Section 4.4(e)] shall be made on a uniform and nondiscriminatory basis.
“Corrective Action Program” or “CAP” means measures established to assure that conditions adverse to quality, including, but not limited to, failures, malfunctions, deficiencies, deviations, defective material and equipment, and non-conformances are promptly identified and corrected. The measures shall assure that the cause of the condition is determined and corrective action taken to preclude repetition. The Corrective Action Program shall comply with, among other things, NEI 08-02, “Corrective Action Processes for New Nuclear Power Plants During Construction” and is part of the Quality Assurance Program as defined in Section 13.1.
Product Withdrawals and Recalls. If # any Regulatory Authority threatens, initiates or advises any action to remove any Product from the market in the Territory or requires or advises Unum, SGI, or any of their respective Affiliates to distribute a Dear Doctor letter or its equivalent regarding use of such Product in the Territory, or # either Party determines that an event, incident, or circumstance has occurred that may result in the need for a recall or market withdrawal in the Territory, then in each case ((a) or (b)) Unum or SGI, as applicable, will, to the extent practicable, notify the other Party of such event or determination immediately, and in any event within twenty-four (24) hours (or sooner if required by law) after such Party becomes aware of the event or makes such determination. Each Party will, to the extent practicable, endeavor to discuss and agree with the other Party upon whether to recall or withdraw the Product in the Territory; provided, however, that if such discussion is not practicable or if the Parties fail to agree within an appropriate time period (recognizing the exigencies of the situation), then # Unum will decide whether to recall or withdraw such Product in the Shared Territory; and # SGI will decide whether to recall or withdraw such Product in the Licensed Territory. The Parties will be jointly responsible for conducting any recalls or taking such other necessary remedial action with respect to Products in the Shared Territory, except to the extent that the recall or withdrawal is attributable to the negligence, breach or intentional misconduct of the other Party or any of its Affiliates or subcontractors, in which event the other Party will bear such costs to the extent of its or its Affiliates or subcontractors responsibility. SGI will be responsible, at its sole expense, for conducting any recalls or taking such other necessary remedial action with respect to Products in the Licensed Territory, except to the extent that the recall or withdrawal is attributable to the negligence, breach or intentional misconduct of Unum or any of its Affiliates or subcontractors, in which event Unum will bear such costs to the extent of its or its Affiliates or subcontractors responsibility.
Committee Action. Except as provided in Section 7.7, the Committee may, in its discretion, determine that notwithstanding Section 15.1, any Awards shall be transferable, without compensation to the transferor, to and exercisable by such transferees, and subject to such terms and conditions as the Committee may deem appropriate; provided, however, no Award may be transferred for value without shareholder approval.
Committee Action. Execution of this Agreement by the Chair or other member of the Committee signifies that this Agreement, the award of Restricted Stock Units made hereby and the conditions upon which the restrictions on the Restricted Stock Units shall lapse or be satisfied have been approved by the Committee either at a meeting of the Committee or by the unanimous written consent of its members.
