To the knowledge of Borrowers, the Security Documents correctly set forth the legal description of any subject real property and reasonably describe the subject personal property collateral.

#Personal Property Leases

“Assets” shall mean any interest of Borrower in any kind of property, whether real, personal or mixed, tangible or intangible.

“Property” of a Person means any and all property, whether real, personal, tangible, intangible or mixed, of such Person, or other assets owned or leased by such Person.

“Property” means all real property owned or leased by Holdings, the Company or any of the other Subsidiaries, and all personal property owned or leased by Holdings, the Company or any other Subsidiary.

the lease, assignment, sub-lease, license or sub-license of any real or personal property in the ordinary course of business;

Any defense based upon an election of remedies by Agent or any Lender, including any election to proceed by judicial or nonjudicial foreclosure of any security, whether real property or personal property security, or by deed in lieu thereof, and whether or not every aspect of any foreclosure sale is commercially reasonable, or any election of remedies, including remedies relating to real property or personal property security, which destroys or otherwise impairs the subrogation rights of a Credit party or the rights of a Credit Party to proceed against the other Credit Parties for reimbursement, or both;

No Joint Assessment. No Borrower shall suffer, permit or initiate the joint assessment of all or any portion of any Property with # any other real property constituting a tax lot separate from such Property, or # any portion of such Property which may be deemed to constitute personal property, or any other procedure whereby the Lien of any taxes which may be levied against such personal property shall be assessed or levied or charged to such Property.

all guaranties and warranties, to the extent transferable, owned by ​ and received in connection with any construction, repair or maintenance services performed with respect to the Real Property or Personal Property (collectively, the “Warranties”); and

leases, subleases, or non-exclusive licenses or sublicenses of real or personal Property (including Intellectual Property or other general intangibles) to third parties in the ordinary course of business and in accordance with the applicable Security Documents;
