In the event that West’s supply of raw materials or other components supplied by third parties necessary for the manufacture of the Product is disrupted or adversely affected during the term of this Agreement, such that any such raw materials or components are in short supply for a period of at least thirty (30) days, then West will allocate that portion of the available quantity of such raw materials or components to Customer as Customer’s consumption of such raw materials or components related to West’s aggregate use of such raw material or components during the calendar quarter immediately preceding the occurrence of the event giving rise to the short supply, except to the extent in West’s reasonable judgment a different allocation of raw materials or components is required to avoid serious harm or injury to patients.

Raw Power. The Lessor shall provide raw electrical power of upto 0.8 KVA for every 100 (one hundred) square feet of Super Built Up Area of the Premises and that such power is supplied by Bangalore Electricity Supply Company Limited (“BESCOM”) and available on the Lease Commencement Date. In the event the Lessee requires a power load greater than the power load agreed herein the Lessor shall, upon the Lessee's request, and subject to feasibility, provide the additional load to the Premises for both main supply and back up. In the event that the Lessee’s request is any time before the Rent commencement Date, the Lessee shall pay one time additional charges to the Lessor equivalent to Rs. 50,000/- (Rupees Fifty Thousand) per KVA for both main supply and back up. In the event that the Lessee’s request is after the Rent Commencement Date, the Parties shall mutually agree on the infrastructure cost to be paid by the Lessee for availing such additional power.

“Critical Raw Materials”, “Customized or Dedicated Raw Materials” and “Other Raw Materials” shall be defined on a per-Product basis by the Core Team pursuant to 5.3.1.

Lonza shall be compensated for all pass-through costs incurred through to the date of termination, including Raw Materials costs and Raw Materials Fees for Raw Materials used and/or purchased for use in accordance with Binding Orders; and

“Raw Materials” means those materials that are used in the Services, including, but not limited to, chemicals, reagents, filters, excipients, disposable consumables, and secondary packaging materials. Raw Materials exclude the Client Materials.

Management. SBL shall procure and maintain a reasonable quantity of the Raw Materials required for the Services in accordance with the MSA and any applicable PSA. ​, the Core Team shall finalize the categorization of the Raw Materials into # Critical Raw Materials, # Customized or Dedicated Raw Materials, and # Other Raw Materials, or such other categorizations as are appropriate, and send the categorization to Client for approval as soon as practicable after the Effective Date. The Parties shall discuss and approve the categorization in accordance with this MSA and any applicable PSA no later than ​ after the receipt of such categorization from SBL. ​. The list of Raw Materials may be amended from time to time, subject to the Parties’ mutual agreement; ​. During Technology Transfer, the Core Team shall agree on estimates for Raw Materials anticipated to be consumed in the Manufacture of each Batch. ​.

“Raw Materials” means all raw materials, supplies, components and packaging necessary to Process and ship Product in accordance with the Specifications, as provided in Attachment B, but excluding Client-supplied Materials.
