Ratification. Borrower hereby restates, ratifies and reaffirms each and every term and condition set forth in the Credit Agreement and the Loan Documents to which it is a party effective as of the date hereof and as amended hereby.

Ratification. All other provisions of the Plan remain unchanged and are hereby ratified by the Company.

Ratification. Except as specifically provided for in this Amendment or the First Amendment, no changes, amendments, or other modifications have been made on or prior to the date hereof or are being made to the terms of the Support Agreement or the rights and obligations of the parties thereunder, all of which such terms are hereby ratified and confirmed and remain in full force and effect.

Ratification. Except for the express terms of this Amendment, all of the terms, covenants and conditions of the Original Agreement, and all of the respective rights and obligations of the Executive and the Company hereunder and thereunder, shall remain in full force and effect during the term of the Agreement and are not otherwise modified, altered, amended, revised or changed. Hereinafter, references to the “Agreement” shall mean the Original Agreement as amended by this Amendment.

Ratification. All other terms and provisions of the Agreement are hereby ratified and shall remain unchanged and in full force and effect.

Ratification. This Amendment, subject to satisfaction of the conditions set forth in Section 4 hereof, shall constitute an amendment to the Loan Agreement and all of the Loan Documents as appropriate to express the agreements contained herein. Except as specifically set forth herein, the Loan Agreement and the Loan Documents shall remain unchanged and in full force and effect in accordance with their original terms.

Ratification. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions of the Credit Agreement and shall not be deemed to be a consent to the modification or waiver of any other term or condition of the Credit Agreement. Except as expressly modified and superseded by this Amendment, the terms and provisions of the Credit Agreement are ratified and confirmed and shall continue in full force and effect.

Execution and Delivery of Guaranty Ratification. Each Subsidiary Guarantor, if any, shall execute and deliver a ratification of its Subsidiary Guaranty.
