“Prospectus” means the Base Prospectus, as supplemented by any Prospectus Supplement, including the documents incorporated by reference therein.

“Prospectus Supplement” means any prospectus supplement or post-effective amendment to the Base Prospectus filed with the SEC in connection with the transactions contemplated by this Agreement, including the documents incorporated by reference therein.

“Prospectus” means a prospectus relating to a Registration Statement, as amended or supplemented, and all materials incorporated by reference in such Prospectus.

“Prospectus” means the final base prospectus filed for the Shelf Registration Statement, including all information, documents and exhibits filed with or incorporated by reference into such base prospectus.
