Prorations. The following prorations between Seller and Purchaser shall each be made as of 11:59 p.m. (local time) on the day preceding the Closing Date, as indicated below, in each instance, based on either the actual number of days in the year or, if applicable, the actual number of days in the calendar month, in which the Closing occurs.
