Proprietary Information Agreement. You will be required as a condition of your continued employment with the Company to execute the Company’s Employee Proprietary Information, Non-Solicitation and Arbitration Agreement (the “Proprietary Information Agreement”) in the form attached hereto as Exhibit A. The parties hereto acknowledge and agree that this Agreement and the Proprietary Information Agreement shall be considered separate contracts, and the Proprietary Information Agreement will survive the termination of this Agreement for any reason.

Proprietary Information Agreement. As a condition of employment, Employee shall execute and abide by the Company’s standard form of Proprietary Information and Inventions Assignment Agreement (the “Proprietary Agreement”).

Proprietary Information Agreement. As a condition to employment, Executive agrees to execute, and will continue to abide by the Company’s standard Confidential Information and Invention Assignment Agreement attached hereto as [Exhibit A] (“Proprietary Agreement”).

Proprietary Information Agreement. Employee agrees to sign and be bound by the terms of the Company’s Proprietary Information and Inventions Agreement, which is attached as [Exhibit A] (“Proprietary Information Agreement”).

Proprietary Information Agreement. The terms of the Proprietary Information and Inventions Agreement by and between the Company and the Executive executed by the Executive (the "Proprietary Information Agreement") and any other similar agreement regarding confidentiality, intellectual property rights, non-competition or non-solicitation between the Company and the Executive, are hereby incorporated by reference and are a material part of this Agreement. The duration of Executive's covenants set forth in Section 3 (nonsolicitation) and Section 4 (covenant not to compete) of the Proprietary Information Agreement are hereby amended to apply for eighteen months following the end of employment in the event the Company makes the lump sum payment provided for under Section 5(d)(iii)(l ).
