Schedule #(11) of the Vendor Disclosure Letter sets out a list of all material tangible property in connection with the Roughrider Property (the “Tangible Property”), all of which are owned by or for the benefit of the Roughrider Subsidiary. For certainty, the Vendor makes no representation or warranty about the condition or sufficiency of the Tangible Property.

Property Taxes. Each Party is responsible for all real property, personal property, and similar ad valorem Taxes imposed on such Party with respect to any item of property that it owns or leases, to the extent applicable hereunder.

Leased Property. In order to facilitate the ability of the Company to transport and handle the Feedgrains, Oilseeds, Wheat and By-Products which it intends to market into export channels, TEMCO has entered into the following sublease and lease agreements:

Intellectual Property. The Company and each of its Subsidiaries owns, possesses, or can acquire on reasonable terms, all Intellectual Property (as defined below) necessary for the conduct of their respective businesses as now conducted or as described in the Registration Statement, the Pricing Prospectus and the Prospectus to be conducted. Except as would not result in a Material Adverse Effect, # there are no rights of third parties to any such Intellectual Property owned by the Company; # to the knowledge of the Company, there is no infringement, misappropriation or violation by third parties of any such Intellectual Property; # there is no pending or, to the knowledge of the Company, threatened, action, suit, proceeding or claim by others challenging the Company’s or any Subsidiary’s rights in or to any such Intellectual Property, and the Company is unaware of any facts which would form a reasonable basis for any such claim; # the Intellectual Property owned by the Company and
