Schedule #(11) of the Vendor Disclosure Letter sets out a list of all material tangible property in connection with the Roughrider Property (the “Tangible Property”), all of which are owned by or for the benefit of the Roughrider Subsidiary. For certainty, the Vendor makes no representation or warranty about the condition or sufficiency of the Tangible Property.

Property Taxes. Each Party is responsible for all real property, personal property, and similar ad valorem Taxes imposed on such Party with respect to any item of property that it owns or leases, to the extent applicable hereunder.

Property. Subject to the terms of this Purchase and Sale Agreement (this “Agreement”), Seller agrees to sell to Purchaser, and Purchaser agrees to purchase from Seller, all of Seller’s right, title and interest in and to the following property (the “Property”):

Property. Notwithstanding anything to the contrary in the Employment Agreement, Company hereby agrees that Employee may retain her Company-issued laptop, provided that # all Company information stored on such laptop has been transferred to the Company’s information storage systems prior to the date hereof, and # all confidentiality obligations of Employee contained in the Employment Agreement and elsewhere will continue to apply in accordance with their terms. Employee and one family member will continue to have membership access to the Company’s yoga studios for the duration of the Severance Period.

Property. With respect to the property and assets it leases, the Company is in compliance in all material respects with such leases and, to its knowledge, holds a valid leasehold interest free of any liens, claims or encumbrances other than those of the lessors of such property or assets. The Company does not own any real property.

Leased Property. In order to facilitate the ability of the Company to transport and handle the Feedgrains, Oilseeds, Wheat and By-Products which it intends to market into export channels, TEMCO has entered into the following sublease and lease agreements:

Intellectual Property. The Company and each of its Subsidiaries owns, possesses, or can acquire on reasonable terms, all Intellectual Property (as defined below) necessary for the conduct of their respective businesses as now conducted or as described in the Registration Statement, the Pricing Prospectus and the Prospectus to be conducted. Except as would not result in a Material Adverse Effect, # there are no rights of third parties to any such Intellectual Property owned by the Company; # to the knowledge of the Company, there is no infringement, misappropriation or violation by third parties of any such Intellectual Property; # there is no pending or, to the knowledge of the Company, threatened, action, suit, proceeding or claim by others challenging the Company’s or any Subsidiary’s rights in or to any such Intellectual Property, and the Company is unaware of any facts which would form a reasonable basis for any such claim; # the Intellectual Property owned by the Company and

Property. Subject to the terms and conditions of this Agreement of Purchase and Sale (the “Agreement”), Seller agrees to sell to Purchaser, and Purchaser agrees to purchase from Seller, the following property (collectively, the “Property”):

means all Patents, copyrights, design rights, trademarks, trade secrets, Know-How, and all other intellectual property rights (whether registered or unregistered) and all applications and rights to apply for any of the foregoing.
