correspondence and other usual and customary records, and advertising and promotional materials, studies and reports used in connection therewith;

#​ shall only use marketing and promotional materials, which have been pre-approved by ​'s regulatory and compliance personnel;

Promotion. Licensed Products shall be Commercialized solely under trademarks and trade dress selected by Arcus (collectively, “Trademarks”) and solely in connection with packaging, inserts, digital content and similar information and materials selected by Arcus or its Affiliates or any of their sublicensees (collectively, “Promotional Materials”). As between the Parties, Arcus shall exclusively own all Promotional Materials and all Trademarks for Licensed Products, and shall be responsible for the procurement, filing and maintenance of trademark registrations for such Trademarks and all related costs and expenses.

Neither party shall use any of the other party’s Promotional Materials without the prior written consent of the other party, not to be unreasonably withheld.

All books, records, files, data, customer lists, customer records, research and development reports and advertising and promotional materials that relate to the PLA and the MSA; and

Anything in this Agreement to the contrary notwithstanding, Agent may disclose information concerning the terms and conditions of this Agreement and the other Loan Documents to loan syndication and pricing reporting services or in its marketing or promotional materials, with such information to consist of deal terms and other information customarily found in such publications or marketing or promotional materials and may otherwise use the name, logos, and other insignia of any Borrower or the other Loan Parties and the Commitments provided hereunder in any “tombstone” or other advertisements, on its website or in other marketing materials of the Agent.

review and approve the manner in which the Markings are to be presented on promotional materials and Product Labeling for the Co-Promotion Products in the Co-Promotion Territory; and

Hazardous Materials. ​ and ​ agree as follows with respect to the existence or use of “Hazardous Materials,” as that term is defined in [Section 29.37.4], below, on the Project.

Hazardous Materials As used herein, the term “Hazardous Materials” means any hazardous, radioactive or toxic substance, material or waste which is or becomes regulated by any local governmental authority, the State of California or the United States

Raw Materials. Supplier agrees to maintain all documentation/records regarding its procurement of all raw materials ("Materials") for a period of 5 years. Supplier shall not amend, change or supplement any of the following without Buyer's prior written consent: # the Specifications; # the Materials; or # the process for manufacturing the Hemp Extracts. Any change in any of the foregoing shall, in each case, comply with all applicable laws, regulations and agency requirements. In the event that Supplier desires to change any of the foregoing, Supplier agrees to immediately notify Buyer of such change in writing, and if Buyer agrees to such change, Supplier shall be responsible, at its sole expense, for ensuring that all Hemp Extracts manufactured following such change strictly conform to the change in Specifications, Materials or the manufacturing process.
