Proceedings. No action, proceeding or order by any court or governmental body or agency shall have been threatened in writing, asserted, instituted or entered to restrain or prohibit the carrying out of the transactions contemplated by this Agreement.

Actions or Proceedings. No action or proceeding by any governmental authority or other person shall have been instituted or threatened which could enjoin, restrain or prohibit, or could result in substantial damages in respect of, any provision of this Agreement or the consummation of the transactions contemplated hereby.

No Proceedings. No legal or governmental action, suit or proceeding shall have been instituted or threatened before any court, administrative agency or tribunal, nor shall any order, judgment or decree have been issued or proposed to be issued by any court, administrative agency or tribunal to set aside, restrain, enjoin or prevent the consummation of this Agreement or the transactions contemplated hereby;

Actions or Proceedings. No action or proceeding by any governmental authority or other person shall have been instituted or threatened which could enjoin, restrain or prohibit, or could result in substantial damages in respect of, any provision of this Agreement or the consummation of the transactions contemplated hereby; and

No Order or Proceeding. No Order shall be issued by any Governmental Authority restraining or prohibiting the consummation of the transactions contemplated by this Agreement.

There shall not be pending or threatened in writing (by the Government or any other third party) any suit, action or proceeding challenging or seeking to restrain or prohibit the transactions contemplated by this Agreement.

No Injunction. No court or other Governmental Authority shall have issued an order, injunction, decree or judgment, and there shall be no Action threatened in writing by any Governmental Authority or pending before a court or other Governmental Authority, restraining, enjoining, materially delaying or otherwise prohibiting consummation of the Transactions. No court or other Governmental Authority shall have promulgated, entered or issued, or determined to be applicable to this Agreement, any applicable Law making the consummation of the Transactions illegal, and no proceeding with respect to the application of any such applicable Law shall be pending.
