Procedural Rules. The JRC shall have the right to adopt such standing rules as shall be necessary for its work, to the extent such rules are not inconsistent with any terms of this Agreement. A quorum of the JRC shall exist whenever there is present at a meeting at least one representative of each Party. The JRC shall take action by consensus of the representatives present at a meeting at which a quorum exists, with each Party having a single vote irrespective of the number of representatives of such Party in attendance, or by a written resolution signed (in hard copy or electronically) by at least one representative appointed by each Party. Employees or consultants of either Party who are not representatives of the Parties on the JRC may attend meetings of the JRC; provided, that # such attendees shall not vote or otherwise participate in the decision-making process of the JRC and shall be bound by obligations of confidentiality and non-disclosure that are at least as stringent as the provisions of ARTICLE 12, and # attendance of any non-employee must be pre-approved by the other Party, such approval not to be unreasonably withheld, conditioned or delayed.

Procedural Rules. The JDC shall have the right to adopt such standing rules as are necessary for its work, to the extent that such rules are not inconsistent with this Agreement. A quorum of the JDC shall exist whenever there is present at a meeting at least one (1) representative appointed by each Party. JDC members may attend a meeting either in person or by telephone, video conference or similar means in which each participant can hear what is said by, and be heard by, the other participants. Representation by proxy shall be allowed. The JDC shall take action by consensus of the representatives present at a meeting at which a quorum exists, with each Party having a single vote irrespective of the number of representatives of such Party in attendance, or by a written resolution signed by at least one (1) representative appointed by each Party. Employees or consultants of either Party that are not representatives of the Parties on the JDC may attend meetings of the JDC; provided, however, that such attendees # shall not participate in matters reviewed by the JDC, and # are bound by obligations of confidentiality and non-disclosure equivalent to those set forth in Article 10.

Rules. Any Dispute that is not resolved by negotiation shall exclusively be resolved by binding arbitration administered by the ADR Firm under the Commercial Arbitration Rules of the ADR Firm in effect as of the date hereof (the “Arbitration Rules”), except to the extent otherwise expressly set forth in this Section 12. All proceedings related to such arbitration shall be held in Sarasota, Florida, unless the Parties otherwise agree in writing.

Rules. The Committee may adopt rules, regulations and procedures as it deems necessary for the performance of its duties under the Plan, except to the extent that such rules, regulations and procedures conflict with the express provisions of the Plan or written policies or directives of the Compensation Committee.

Procedural Rules. The CPC shall have the right to adopt standing rules as necessary for the CPC to conduct business; provided, that such rules are not inconsistent with this Agreement. Representatives of the Parties on the CPC may attend a meeting either in person or by telephone, video conference or similar means in which each participant can hear what is said by and be heard by, the other participants. Representation by proxy shall be allowed.

Rules. Tenant and Tenant’s Occupants shall faithfully observe and comply with all of the rules set forth on the attached [Exhibit A], and Landlord may from time to time amend, modify or make additions to or deletions from such rules in a commercially reasonable and nondiscriminatory manner. Such amendments, modifications, additions and deletions shall be effective on written notice to Tenant. On any breach of any of such rules, Landlord may exercise any or all of the remedies provided in this Lease on a default by Tenant under this Lease and may, in addition, exercise any remedies available at law or in equity including the right to enjoin any breach of such rules. Landlord shall not be responsible to Tenant for the failure of any other tenant or person to observe any such rules.

Rules. The Arbitration shall be conducted in accordance with the Delaware Rapid Arbitration Rules (the “Rules”), as such Rules may be amended or changed from time to time; provided, that, the parties to a Dispute may agree to depart from the Rules by # adopting new or different rules to govern the Arbitration, or # modifying or rejecting the application of certain of the Rules. To be effective, any departure from the Rules shall require the consent of the Arbitrator and shall be in writing and signed by an authorized representative of each such party [[Organization B:Organization]] Dispute.

Procedural Rules. Each Joint Committee shall have the right to adopt such standing rules as shall be necessary for its work, to the extent that such rules are not inconsistent with this Agreement. A quorum of each Joint Committee shall exist whenever there is present at a meeting ​ appointed by each Party. Subject to a Party having final decision-making authority with respect to a matter, each Party shall have ​ with respect to any matters properly before each Joint Committee. ​. Subject to Section 7.4.3, each Joint Committee shall take action by consensus of the representatives present at a meeting at which a quorum exists, ​ or by a written resolution signed by ​ appointed by each Party. Alliance Managers or other employees or consultants of a Party who are not representatives of the Parties on a Joint Committee may attend meetings of such Joint Committee; provided, however, that such attendees # shall not vote in such Joint Committee and # are bound by obligations of confidentiality and non-disclosure at least as protective of the other Party as those set forth in ARTICLE 10. For clarity, each Party shall have the right to make operational, day-to-day decisions with respect to the performance of its activities under this Agreement.

Procedural Rules. Each Joint Team will have the right to adopt such standing rules as will be necessary for its work, to the extent that such rules are not inconsistent with this Agreement. A quorum of the Joint Team will exist whenever there is present at a meeting at least ​ representative appointed by each Party. Each Joint Team will take action or make decisions at a meeting at which a quorum exists, or by a written resolution signed by at least ​ appointed by each Party.
