Prior Agreement. The Loan Documents are hereby ratified and reaffirmed and shall remain in full force and effect. Except as otherwise provided herein, including, without limitation with respect to Section 6 hereof, this Agreement supersedes and is in lieu of any and all other employment arrangements between Employee and the Company or its predecessor or any subsidiary, and any and all such employment agreements and arrangements are hereby terminated and deemed of no further force or effect.

Prior Agreement. The parties entered into a consulting agreement on June 16, 2020 (the “Prior Agreement”). Both parties acknowledge and agree that, as of the beginning of the Term (as defined below) of this Agreement, the agreed upon services under the Prior Agreement have been completed and therefor both parties desire to enter into a new consulting arrangement.

Prior Agreement. This Agreement, on its Effective Date, amends, restates and supersedes the Prior Employment Agreement.

Prior Agreement. This Agreement supersedes the Existing Nondisclosure Agreement. All confidential information exchanged between the Parties under the Existing Nondisclosure Agreement will be deemed Confidential Information of the disclosing Party and will be subject to the terms of this Agreement.

Prior Agreement. On the Effective Date, the Executive Severance Agreement, dated September 10, 2014, between Executive and Saia shall be terminated.

This Agreement contains the entire understanding of the Parties with respect to the matters set forth herein. Each Party acknowledges that there are no warranties, representations, promises, covenants, or understandings of any kind except those that are expressly set forth in this Agreement. This Agreement supersedes and is in lieu of any and all other agreements between the Executive and the Company or its predecessor or any subsidiary, and any and all such employment agreements or arrangements are hereby terminated and deemed of no further force or effect.
