Principal Place of Employment. The Executive’s principal place of employment during the Term shall be at the Company’s office located at 835 Innovation Drive, Knoxville, Tennessee 37932. The Company may transfer the Executive’s place of employment; provided, however, that the Company shall receive the Executive’s written consent before planning or effectuating any such transfer.

Principal Place of Business. The principal place of business of the Partnership shall be at [[Address A:Address]]. The General Partner may change the principal place of business or establish such other place or places of business for the Partnership as it may, from time to time, deem necessary or appropriate, provided however, that the General Partner shall give the Limited Partners notice of any change of address of the principal place of business of the Partnership at least ten (10) days prior to any such change.

Place of Employment. You will work primarily out of the Washington office and you will not be required to relocate your residence during the Term (including any Renewal Term) of your employment with the Company. However, you may be required to travel as needed.

Under this Agreement, [[Organization A:Organization]] and the Executive will agree upon one or more places where the Executive shall perform the requirements of his employment. On the Effective Date of this Agreement, Executive may work at the [[Organization A:Organization]]’s office located in Newark, California or at Executive’s residence. In addition, [[Organization A:Organization]], from time to time, may require the Executive to travel temporarily to other locations to conduct [[Organization A:Organization]] business.

Place of Employment. The Executive’s services shall be performed at such location or locations as the Executive shall determine, in his sole discretion.

Principal Obligation. FOR VALUE RECEIVED, , (“Maker”), promises to pay to RICKY HUGHES (“Holder”) the principal sum of U.S. One Hundred Seventy Thousand Dollars (US $170,000).

The relocation of the principal place of your employment to a location more than fifty (50) miles from the location of such place of employment on the Effective Date; except for required travel on the Company’s business to an extent substantially consistent with your business travel obligations prior to the Change in Control.

Work Location. Executive’s principal place of employment shall be both at a remote location and at the Company’s corporate headquarters in [[Address A:Address]], subject to business travel as needed to properly fulfill Executive’s employment duties and responsibilities. The Company acknowledges and agrees that Executive’s principal place of residence may be outside of the State of Oregon. The Company will pay rent of up to $1,100 per month for a suitable office outside of [[Address A:Address]].

During the Period of Employment, the Executive’s principal place of employment shall be the Company’s principal executive office as it may be located from time to time. The Executive acknowledges that he will be required to travel from time to time in the course of performing his duties for the Company.

If the Participant’s principal place of employment is a state listed the United States sub-section of [Appendix A], then the applicable provision(s) in [Appendix A] shall also apply.

SECTION # Transfers. A Participant’s transfer to another employment location shall not by itself constitute an Adverse Change in Conditions of Employment; provided, however, that such an Adverse Change in Conditions of Employment shall be deemed to exist if, after a Change in Control, a Participant is transferred to a principal business location so as to increase the distance between the principal business location and such Participant’s place of residence at the time of the Change in Control by more than 35 miles.
