Principal Location of Services. Executive shall perform his duties hereunder principally out of the Company’s corporate headquarters (presently located in [[Address A:Address]]) and shall undertake such travel within or outside of the United States as is necessary or advisable for the efficient operations of the Company and the performance of Executive’s duties hereunder.

For the first 12 months of Executive’s employment (the “Commuting Period”), Executive shall be permitted to telecommute from his current home location, with the expectation that Executive relocate to the greater Phoenix metropolitan area by the end of the Commuting Period (such relocation benefits to be governed by [Section 2.8]). During the Commuting Period, Executive shall be reimbursed for his travel expenses when required to attend meetings in person at the Mesa Headquarters in accordance with the Company’s Travel & Expense Policy.

Scope and Location of Services. Consultant shall during the Term (as defined below) provide the Consulting Services and related services to Client, as shall be requested by Client and accepted by Consultant from time to time. Consultant shall only perform services upon Client’s request. Notwithstanding the foregoing, it is the understanding and agreement of the parties that the Consulting Services shall require Consultant to devote approximately one day per month to the Consulting Services. The Consulting Services are subject to Client’s having provided Consultant with all materials, documentation, and information necessary for the provision of such services.

Executive shall perform his duties during the Employment Term principally out of offices located in the New Jersey or New York Metropolitan area and shall undertake such travel within or outside of the United States as is necessary or advisable for the efficient operations of the Company.

No Fixed Location of Services. The Executive shall not be required to perform any of the duties set out herein from any specific location or premises but is permitted to work from the Company’s offices in [[Address A:Address]], United States or Toronto, Ontario, Canada, provided that at all times such duties are exercised faithfully and Executive Employment Agreement (Canada) diligently. The Executive shall undertake such travel within or outside of the United States and Canada as is necessary or advisable for the efficient operations of the Company and the performance of Executive's duties hereunder.

Location. Except as permitted pursuant to [Section 5.02(l)], such Loan Party’s location (within the meaning of Article 9 of the UCC) is the State of Delaware. Except as permitted pursuant to [Section 5.02(l)], the principal place of business and chief executive office of such Loan Party (and the location of the Loan Party’s records regarding the Collateral (other than those delivered to the Collateral Custodian pursuant to this Agreement)) is located at the address set forth under its name in [Section 11.02].

Location of Employment Services. Employee will perform services for Company from her principal residence located in Jacksonville, Florida or from a mutually-agreed office location in the Jacksonville area, provided that Employee may be asked to travel from time to time to Company’s headquarters (Tampa, Florida) or elsewhere pursuant to the instructions of the Chief Executive Officer.

Change in Location of Principal Place of Business. Pledgor shall not relocate its chief executive office and/or principal place of business to a new location except in accordance with the Loan Agreement.
