“Prime Rate” means the rate of interest last quoted by The Wall Street Journal as the “Prime Rate” in the U.S. or, if The Wall Street Journal ceases to quote such rate, the highest per annum interest rate published by the Board in Federal Reserve Statistical Release H.15 (519) (Selected Interest Rates) as the “bank prime loan” rate or, if such rate is no longer quoted therein, any similar rate quoted therein (as determined by [[Administrative Agent:Organization]]) or any similar release by the Board (as determined by [[Administrative Agent:Organization]]). Each change in the Prime Rate shall be effective from and including the date such change is publicly announced or quoted as being effective.

“ “Base Rate” shall mean, for any day, the “U.S. Prime Lending Rate” means the rate of interest last quoted bypublished in The Wall Street Journal as the “Prime Rate” in the U.S. or,for such day; provided that if The Wall Street Journal ceases to quotepublish for any reason such rate,rate of interest, “Base Rate” shall mean the highest per annum interest rate published by the Federal Reserve Board in Federal Reserve Statistical Release H.15 (519) (Selected Interest Rates) as the “bank prime loan” rate or, if such rate is no longer quoted therein, any similar rate quoted therein (as determined by [[the Administrative Agent:Organization]])Agent) or any similar release by the Federal Reserve Board (as determined by [[the Administrative Agent:Organization]])Agent). Each change in the Prime Rate shall be effective from and including the date such change is publicly announced or quoted as being effective.

“Prime Rate” means the greater of 3.25% per year or the Prime Rate published in the Money Rates section of the Western Edition of The Wall Street Journal, or such other rate of interest last quotedpublicly announced from time to time by The Wall Street Journal[[Organization B:Organization]] as its Prime Rate. [[Organization B:Organization]] may price loans to its customers at, above, or below the “Prime Rate” in the U.S. or, if The Wall Street Journal ceases to quote such rate, the highest per annum interest rate published by the Board in Federal Reserve Statistical Release H.15 (519) (Selected Interest Rates) as the “bank prime loan” rate or, if such rate is no longer quoted therein, any similar rate quoted therein (as determined by [[Administrative Agent:Organization]]) or any similar release by the Board (as determined by [[Administrative Agent:Organization]]). EachPrime Rate. Any change in the Prime Rate shall be effective from and includingtake effect at the date suchopening of business on the day specified in the public announcement of a change is publicly announced or quoted as being effective.in the Prime Rate.

Each in connection with extensions of credit to borrowers); each change in the Prime Rate shall be effective from and including the date such change is publicly announced or quoted as being effective.
