Prices. The prices for the Goods shall be as set forth in [Annex A], subject to [Section 6.3] and [Section 14.1].

Reported Stock Prices. For purposes of this Option, any Closing Price or price of the stock of any Index Company that is listed on The Nasdaq Stock Market or such other applicable established securities exchange, national market system, or trading platform, referenced in the Agreement for any applicable date or dates will be as reported on The Wall Street Journal or such other source as the Administrator deems reliable.

Equitable Adjustments to Prices. Whenever any provision of this Note requires the Company to calculate the average of the Last Reported Sale Prices, or any function thereof, over a period of multiple days (including to calculate an adjustment to the Conversion Rate), the Company will make proportionate adjustments, if any, to such calculations to account for any adjustment to the Conversion Rate pursuant to [Section 8(G)(i)] that becomes effective, or any event requiring such an adjustment to the Conversion Rate where the Ex-Dividend Date or effective date, as applicable, of such event occurs, at any time during such period.

Prices. The price for the Products shipped by Alba until 31st Dec 2020 shall be as set forth in [Schedule A]-1 and A-2.

Prices. Prices for the Products shall be those prices set forth in [Schedule C] attached hereto. The Product prices include all charges for Supplier’s boxing, packaging, packing, crating, storage and handling, to the F.O.B. point, freight costs to ship pursuant to the Order and duties (but excluding any insurance on the Products during shipment of the Products after transfer of risk and title as set forth in Section 4.1). In addition, Supplier shall be liable for any applicable sales, use or similar taxes, excises, and similar charges, which shall be separately invoiced to S&W. The pricing formulas set forth in [Schedule C] shall remain firm for the Term. With respect to the S&W Licensed Products only, Supplier shall not, during the Term, offer or sell to any similarly situated third-party buyers any products that are similar to the Products supplied to S&W under this Agreement at prices that are lower than the prices set forth in [Schedule C] without offering such lower prices to S&W.

Prices. Customer shall pay Supplier the prices for the Final Product as listed in Annex 6 (Prices). For the avoidance of doubt, these prices shall also compensate Supplier for the Supplier Bulk Supply as part of the Final Product. ​

The Total Purchase Price (inclusive of any tax payable) shall be paid in accordance with the payment schedule set forth in Appendix B of this Agreement.

The per Share exercise price under an Incentive Stock Option shall be as follows:

Prices. Subject to the adjustments as set forth herein and in Exhibit B, the prices for the AgEagle System are set forth on Exhibit A hereto, which may be updated from time to time upon mutual written agreement of the Parties. The Parties agree to meet annually to discuss any modifications to the pricing set forth in Exhibit A to account for any increase in the cost of materials, cost of regulatory changes or compliance and to remain competitive within the Field. Any price adjustments shall be mutually agreed upon between the Parties and set forth in a written document executed by authorized representatives of each Party. For the avoidance of doubt, Raven is free to set its own retail prices for the Products.
