Price. Subject to the remainder of this Article 3, all CpG Material supplied by Dynavax to Purchaser under this Agreement that is manufactured in 2020 and 2021 shall be at a price equal to the Cost per Dose of such CpG Material as set forth in Exhibit C. Thereafter the Cost per Dose shall be subject to adjustment, ​, and the Parties shall update Exhibit C accordingly. The Cost per Dose is exclusive of # any customs duties or taxes imposed with respect to the export of the product and # all shipping and associated costs and all taxes, duties, or other fees of whatever nature imposed with respect to CpG Material supplied hereunder by or under the authority of any Government Authority (including any import duty to the UK), all of which Purchaser agrees to pay in addition to the Cost per Dose. For clarity, Dynavax will be solely responsible for payment of taxes on Dynavax’s income. The Parties hereby agree that the Cost per Dose set forth in Exhibit C as of the Effective Date is valid only for CpG Material that is intended for use in, and is used in, the manufacture of Products for use in the Field during the Pandemic. If Purchaser desires to use any of the CpG Material supplied under this Agreement in any Product for use after the Pandemic, any such use shall be subject to ​ Valneva Austria’s SARS-COV2 Vaccine Supply Agreement with the Secretary of State for Business, Energy and Industrial Strategy, on behalf of the UK Crown (the “Vaccine Supply Agreement”), and where Purchaser has already paid the Final Payment for such shipment of CpG Material, Purchaser would be obligated to pay Dynavax ​.

Price. The parties amend [Section 5.4(a), NGL]L] Value, by deleting it and replacing it with the following:

Price. Seller’s price per gallon to be paid by Purchaser shall be as follows:

Price. The exercise price per share shall be determined by the Committee, subject to adjustment under Section 12.5; provided that in no event shall the exercise price be less than the Fair Market Value (as defined in Section 12.11) of a share of Common Stock on the date of grant, except in the case of a stock option granted in assumption of or substitution for an outstanding award of a company acquired by the Company or with which the Company combines.

Price. In full consideration for the Manufacture and supply of SUNBRIGHT ​, Apellis shall pay NOF the Supply Price for the SUNBRIGHT ​ provided under this Agreement as set forth in [Exhibit B].

Price. The per-unit price charged for the Next Generation MRI System that replaces the Avanto Dot MRI system shall not substantially deviate from the prices listed under “Indicative Pricing for Next Generation Platform components” in [Annex 3] to Amendment 8 to the MRI Agreement, signed on September 19, 2019.

Price. The parties amend [Subsection 5.6(c) and 5.6(f)])], by deleting them and replacing them with the following:

Price. The price for API supplied by GEMA to SAVARA in accordance with this Agreement (“Purchase Price”) shall be as specified on the pricing and milestone schedule attached hereto as [Exhibit 6.1] (the “Pricing and Milestone Schedule”). No more than once per year, GEMA shall be permitted to request a change in the Purchase Price due to increases in their costs to manufacture the API. Any such request shall include appropriate documentation showing the cost increases and their effect on the cost to manufacture the API. Upon receipt by SAVARA of such request, the parties shall negotiate in good faith regarding an adjustment to the Purchase Price. Changes to the pricing of API will be by mutual agreement of the Parties. Notwithstanding the foregoing, in no event will SAVARA be obligated to pay GEMA the Purchase Price for API supplied to SAVARA in the Validation batches, as compensation for the Validation activities shall be made pursuant to [Section 6.2].

PRICE. Subject to SORRENTO’s or its designee’s manufacturing and supply capacity, availability of the given Licensed Product and any obligations or commitments to third parties, the Parties intend that MAYO may, at its sole option, submit orders to purchase the Licensed Product for use within MAYO’s and its Affiliates’ clinical programs and non-commercial educational and research programs in such quantity that SORRENTO can reasonably accommodate at [...​...].
