Preserve, renew and maintain in full force and effect its legal existence except in a transaction permitted by [Section 7.04 or 7.05]5]; # preserve, renew and maintain in full force and effect its good standing under the Laws of the jurisdiction of its, except to the extent the failure to do so by a Subsidiary that is not a Guarantor could not reasonably be expected to have a Material Adverse Effect; # take all reasonable action to maintain all rights, privileges, permits, licenses and franchises necessary or desirable in the normal conduct of its business, except to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect; and # preserve or renew all of its registered patents, trademarks, trade names and service marks, the non-preservation of which could reasonably be expected to have a Material Adverse Effect.

Preservation of Existence, Etc. The Company shall maintain and preserve, and cause each of its Subsidiaries to maintain and preserve, its existence, rights and privileges, and become or remain, and cause each of its Subsidiaries to become or remain, duly qualified and in good standing in each jurisdiction in which the character of the properties owned or leased by it or in which the transaction of its business makes such qualification necessary.

Other than with respect to any Immaterial Subsidiary, preserve and maintain # its legal existence under the Laws of the jurisdiction of its organization, formation or incorporation, except in a transaction permitted by this Agreement (including Section 7.04 or 7.05 (other than by reference to this Section 6.05 (or any sub-clause hereof)) and # its good standing under the Laws of the jurisdiction of its organization, formation or incorporation, except to the extent the failure to do so would not reasonably be expected to have a Material Adverse Effect;

The Company shall maintain and preserve, and cause each of its Subsidiaries to maintain and preserve, its existence, rights and privileges, and become or remain, and cause each of its Subsidiaries to become or remain, duly qualified and in good standing in each jurisdiction in which the character of the properties owned or leased by it or in which the transaction of its business makes such qualification necessary.

Preservation of Existence, Etc. # Preserve, renew and maintain in full force and effect its legal existence and good standing under the Laws of the jurisdiction of its organization except in a transaction permitted by [Section 7.02 or 7.03]3]; # take all reasonable action to maintain all rights, privileges, permits, licenses and franchises necessary or desirable in the normal conduct of its business, except to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect; and # preserve or renew all of its registered patents, trademarks, trade names and service marks, the non-preservation of which could reasonably be expected to have a Material Adverse Effect; provided, however, notwithstanding any of the foregoing, the Borrower shall be permitted to liquidate any Subsidiary into the Borrower or another Subsidiary in accordance with [Section 7.03] and thereafter dissolve such Subsidiary.

Preservation of Existence, Etc. # Preserve, renew and maintain in full force and effect its legal existence under the Laws of the jurisdiction of its organization and # take all reasonable action to maintain all rights, privileges (including its good standing[[Borrower:Organization]], permits, licenses (including FCC Licenses[[Borrower:Organization]] and franchises necessary or desirable in the normal conduct of its business, except in the case of clauses # (other than with respect to the Borrower[[Borrower:Organization]] and (b[[Borrower:Organization]], (i[[Borrower:Organization]] to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect or # pursuant to a transaction permitted by [Section 7.04] or Section 7.05.
