Prepayment. The Issuer may, at its option, prepay at any time all, but not less than all, of this Note, if but only if it likewise prepays all of the Notes. Issuer may exercise the option to prepay by paying the Holder 125% of the principal amount of the Note. Issuer will give each Holder of Notes written notice of prepayment under this Section 3 not less than ten days and not more than 30 days prior to the date fixed for such prepayment. Each such notice shall specify the Prepayment Date (which shall be a Business Day), the principal amount of each Note held by such Holder to be prepaid, and any interest to be paid on the Prepayment Date.

Prepayment. The Borrower may at any time pay or prepay all or any portion of the amounts outstanding hereunder by making a payment to the Holder of an amount in cash equal to the sum of: # the then outstanding principal amount of this Note plus # accrued and unpaid interest on the unpaid principal amount of this Note plus # Default Interest, if any.

Prepayment. The Holder shall have the right, during the period beginning on the date of Holder’s receipt of the Optional Prepayment Notice and until the Holder’s actual receipt of the full prepayment amount on the Optional Prepayment Date, to instead convert all or any portion of the Note pursuant to the terms of this Note, including the amount of this Note to be prepaid by the Borrower in accordance with this Section 1.9. On the Optional Prepayment Date, the Borrower shall make payment of the amounts designated below to or upon the order of the Holder as specified by the Holder in writing to the Borrower. If the Borrower exercises its right to prepay the Note in accordance with this Section 1.9, the Borrower shall make payment to the Holder of an amount in cash equal to the sum of: # 115% multiplied by the Principal Amount then outstanding plus # 115% multiplied by the accrued and unpaid interest on the Principal Amount to the Optional Prepayment Date plus # $750.00 to reimburse Holder for administrative fees.

PREPAYMENT. [[Organization B:Organization]] may, at its option, at any time and from time to time, prepay all or any part of the principal balance of this Note before the Maturity Date, without any penalty; provided, that it shall provide [[Organization A:Organization]] with fifteen (15) days’ advanced written notice of its intent to prepay this Note. [[Organization A:Organization]] shall have the option to elect to convert this Note per the terms of this Note and the Loan Agreement at any time prior to [[Organization B:Organization]]’s prepayment. Any partial prepayments would be applied to accrued interest balance first, then fees and then principal.

Prepayment. The Loan and any interest accrued hereunder may be repaid fully or partially, at any time, without premium, penalty, or notice. All prepayment amounts received by the Lender shall be applied first to interest, and then to any unpaid principal balance.

Prepayment. Notwithstanding anything to the contrary contained in this Note, the Borrower may prepay any amount outstanding under this Note, at any time, by making a payment to the Holder of an amount in cash equal to 130% multiplied by the total outstanding amount owed under the Note at such time of prepayment. In order to prepay this Note, the Borrower shall provide notice to the Holder ten (10) business days prior to such respective prepayment date, and the Holder must receive such prepayment within twelve (12) business days of the Holder’s receipt of the respective prepayment notice, but not sooner than ten (10) business days from the date of notice (the “Prepayment Period”). The Holder may convert the Note in whole or in part at any time during the Prepayment Period, subject to the terms and conditions of this Note.

Prepayment. All or a portion of the unpaid principal and interest due under this Note may be prepaid by the Company without premium or penalty prior to January 20, 2018, by delivering payment in U.S. Funds of such amount being prepaid

At Borrower’s option, so long as no Event of Default has occurred and is continuing, Borrower shall have the option to prepay all, but not less than all, of the outstanding Growth Capital Term Loan Advances, provided Borrower # shall provide written notice to Bank of its election to exercise to prepay the Growth Capital Term Loan Advances at least five (5) Business Days prior to such prepayment, and # pays, on the date of the prepayment # all accrued and unpaid interest with respect to each Growth Capital Term Loan Advance through the date the prepayment is made; plus # all unpaid principal with respect to each Growth Capital Term Loan Advance; plus # the Final Payment; plus # the Make-Whole Premium; plus # all other sums, including Bank Expenses, if any, that shall have become due and payable with respect to the Growth Capital Term Loan Advances, including interest at the Default Rate with respect to any past due amounts. Notwithstanding the foregoing, Bank agrees to waive the Make-Whole Premium if Bank closes on the refinance and re-documentation of this Agreement itself or under another division of Bank (in its sole and exclusive discretion) prior to the Growth Capital Term Loan Maturity Date.

Voluntary Prepayment. [[Organization A:Organization]] may from time to time prepay, without penalty or premium, all outstanding Floating Rate Loans, or any portion of the outstanding Floating Rate Loans in the amount of $10,000,000 or a higher integral multiple of $1,000,000, upon one Business Day’s prior notice to the Agent. [[Organization A:Organization]] may from time to time prepay, all outstanding Eurodollar Loans, or any portion of the outstanding Eurodollar Loans in the amount of $10,000,000 or a higher integral multiple of $1,000,000, upon three Business Days’ prior notice to the Agent.

Insolvency Event. An Insolvency Event shall have occurred with respect to [[Organization C:Organization]] or any Affiliate; or
