Within five (5) Business Days of written request (or such later time as is approved in writing by the Administrative Agent in its sole discretion), the Credit Parties will provide the Administrative Agent with such information regarding the operations, business affairs and financial condition of the Borrower or any Subsidiary (including any Plan and any reports or other information required to be filed with respect thereto under the Code or under ERISA), or compliance with the terms of the Credit

Post-Closing. As soon as possible, but in any event not later than the date that is forty-five (45) days after the Second Amendment Effective Date, Borrower shall deliver to Bank evidence satisfactory to Bank that the insurance policies required by [Section 6.7] of the Loan Agreement are in full force and effect.

Post-Closing Intake. [[Digimarc:Organization]] hereby agrees to complete all action items enumerated on [Schedule 2.2(d)] of this Agreement. [[Digimarc:Organization]] hereby agrees that it shall account for all time and expenses incurred for such work beginning with the date of this Agreement, and all such time and expenses shall be reflected on the Invoices for such work. However, [[Digimarc:Organization]] agrees that ​ to the IV Entities under this Agreement, and [[Digimarc:Organization]] ​ for the cost of the ​ associated with the work under this subsection.

Post-Closing Deliveries. Borrower shall deliver the documents or take the actions as set forth in [Schedule 7.19] hereto.

Post-Closing Obligations. Each Loan Party shall, and shall cause each of its Subsidiaries to, comply with the obligations set forth on [Schedule 8.1.11].
