Position. Executive shall serve as Executive Vice President and Chief Scientific Officer of the Company, reporting to [[Person A:Person]], the Company’s President & CEO (the “CEO”). Executive’s commencement of employment with the Company will be on or before March 2, 2020 (such actual date of commencement of employment with the Company, the “Start Date”). During the term of Executive’s employment with the Company, Executive will devote Executive’s best efforts and substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies.

Position. Subject to the terms and conditions hereinafter set forth, the Company hereby agrees to employ the Executive, and the Executive hereby agrees to serve the Company, at the office and in the Position referred to on Exhibit A.

Position. During the Term of Employment, the Executive shall serve as the Chief Financial Officer of the Company, working out of the Company's office in [[Address A:Address]], and travelling as reasonably required by the Executive's job duties.

Position. Executive shall serve as the Company’s Executive Vice President & Chief Financial Officer, reporting to [[Person B:Person]], the Company’s President & CEO (the “CEO”). Executive’s commencement of employment with the Company will be on or before July 28, 2021 (such actual date of commencement of employment with the Company, the “Start Date”). During the term of Executive’s employment with the Company, Executive will devote Executive’s best efforts and substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies.

Position. The Company shall employ Executive in the position of Chief Medical Officer.

Position. During the Term of Employment, the Executive shall continue [[Organization A:Organization]] serve as the Company’s Chief Financial Officer, working out of the Company’s [[Address A:Address]] office and traveling as required by the Executive’s job duties. The Executive shall report [[Organization A:Organization]] the Company’s Chief Executive Officer.

Position. You will be employed by the Company on a full-time basis, reporting to the Company’s President and Chief Executive Officer or his/her designee. You will work out of the Company’s office in Waltham, Massachusetts or at such other office as the Company may designate. You agree to devote your full business time, best efforts, skill, knowledge, attention and energies to the advancement of the Company’s business and interests and to the performance of your duties and responsibilities as an employee of the Company, and shall not engage in any other employment, consulting or other business activity without the prior written consent of the Company.

Position. Commencing on the later of December 1, 2020 or the consummation of the proposed Company separation through a tax-free spin-off (the “Effective Date”) you will hold the position of Chief Executive Officer, reporting to the Board of Directors. Prior to the Effective Date and subject to the third full paragraph below regarding “at will” employment, you will continue to hold your current positions with the Company and SYNNEX Corporation (“SYNNEX”). After the Effective Date, while your employment with SYNNEX will terminate and commence with the Company only, your service credit with the Company will continue to extend back to your original SYNNEX employer, EMJ Data Systems Ltd or August 1, 2003.

Position. You will be our Chief Financial Officer (CFO) reporting to our Chief Executive Officer. The company requires that, as a full-time employee, you devote your full business time, attention, skill and efforts to the duties of your position as assigned by the company. If you wish to provide services (for compensation or not) to any other business while employed by the company, please discuss that with your supervisor prior to accepting another position.

Position. During the period of his employment hereunder, Executive agrees to serve the Company, and the Employer shall employ Executive, as Executive Vice President of Global Innovation. If appointed or elected, Executive also shall serve as an officer, director and/or manager of one or more of the Employer’s subsidiaries and affiliated companies in such capacity or capacities as may be determined from time to time.
