Position Responsibilities. Titan agrees to employ Executive and Executive agrees to accept employment as Chief Financial Officer of the Company, reporting to the Company’s Chief Executive Officer, pursuant to the terms of this Agreement. Executive will perform such services in the capacity of Chief Financial Officer, as described in the job specifications, and as are the typical responsibilities of an Executive holding such position and, additionally, such other responsibilities consistent therewith as may be assigned to him by the By-laws and, from time to time by the Company’s Chief Executive Officer (the “Company’s CEO”) during the Employment Term, including, if applicable, during the Extended Employment Term. Executive will devote such of his business skill, time and effort to his employment hereunder as shall be reasonably necessary to discharge his obligations hereunder, except for vacations, sick leave, and serving on one or more Board of Directors.
Position and Duties. You will be promoted to serve as President and CEO of the Company, reporting directly to the Board. In your capacity as President and CEO, you will have the authorities and duties commensurate with that position and such other authority and duties commensurate with the position as may be determined from time to time by the Board. You will be appointed to serve as a member of the Board effective as of the Effective Date.
The Executive shall serve as the Controller of the Bank, and shall have the duties, responsibilities and authority as normally attend such positions or as may reasonably be assigned to the Executive from time to time by the President / CEO.
Position and Duties. During the Term, the Executive shall serve as the Chief Executive Officer of the Company, reporting to the Board of Directors of the Company (the Board), and shall have supervision and control over and responsibility for the day-to-day business and affairs of the Company and shall have such other powers and duties as may from time to time be prescribed by the Board, provided that such duties are consistent with the Executives position or other positions that he may hold from time to time. The Company recognizes the unique responsibilities the Executive has at the Company and with the Companys strategic partners. Executive shall devote sufficient working time and efforts to the business and affairs of the Company. Notwithstanding the foregoing, the Executive may serve in positions with the Companys strategic partners, on two outside public board of directors, consistent with the Companys corporate governance policies and procedures with the approval of the Board, which shall not be unreasonably withheld or conditioned, and engage in non-personal religious, charitable or other community activities as long as such services and activities are disclosed to the Board and do not interfere with the Executives performance of his duties to the Company as provided in this Agreement.
Position and Duties. Employee will be employed as OraSure’s Chief Product Officer and, in that position, will be responsible for the Company’s marketing, sales, product management, and medical & clinical affairs, as well as research and development for the Molecular Solutions Business Unit, and such other duties as are reasonably assigned to her from time to time by the Board or Directors of OraSure (the “Board of Directors”) or the Chief Executive Officer of OraSure (the “CEO”). However, Employee’s title, position and/or duties may be changed from time to time in the discretion of OraSure, and such changes will not constitute a material breach of this Agreement, so long as the authority, duties and responsibilities, which, for greater certainty, include a combination of responsibility for revenue, budget, functions and number of employees, (the “Scope”) of her position are not materially less than the Scope of her position immediately prior to the Amendment Effective Date other than in connection with a general reduction either caused by a change in the nature or scope of the Company’s business, or that affects the Company generally or similarly situated executives in substantially the same proportions.
During the Employment Period, the Executive shall serve as Chief Legal Officer, General Counsel and Corporate Secretary of the Company and shall have the duties, responsibilities and authority consistent with such position that are designated by the Company’s Chief Executive Officer, subject [[Organization B:Organization]] direction and supervision of the Board.
Position and Duties. As of the Effective Date, Executive will serve as Senior Vice President and Chief Financial Officer. Executive will render such business and professional services in the performance of her duties, consistent with Executive’s position within the Company, as shall reasonably be assigned to her by either of the co-Chief Executive Officers (co-CEO’s) (together, “Senior Management”) and as are contemplated by the Company’s bylaws. During the term of Executive’s employment with the Company, Executive shall report to and be subject to the directives of the Board of Directors (the “Board”) and Senior Management. Executive shall also abide by the provisions of the Company’s employee handbook, any ethics and compliance directives, and other policies and procedures adopted by the Company. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.” Executive’s successful completion of a drug and background check with satisfactory results is a condition precedent to Company’s obligations under this Agreement.
Position; Reporting; Duties. Subject to the terms and conditions set forth in this Agreement, the Company shall employ Executive as Interim Chief Executive Officer (“CEO”) of the Company and its wholly owned subsidiary, Corporate Holdings LLC, and in such other capacity or capacities as Executive and the Company may agree upon from time to time. Executive shall report to the Company’s board of managers. Executive’s duties and responsibilities shall be to # perform oversight and monitoring of the operations of the Company’s operating subsidiaries; # to be the principal liaison from the Company’s board of managers to the senior management of the Company’s operating subsidiaries, and # to assist the Company in its search for a permanent CEO.
Position and Duties. Beginning on the Effective Date, Executive shall serve as the Chief Executive Officer of the Oncor Entities which, after the Effective Date, will be wholly-owned subsidiaries of NextEra Energy, Inc. (NextEra Energy), and shall have the normal duties, responsibilities and authority of similarly situated senior executives of NextEra Energy. Executive shall report to the Chief Executive Officer of NextEra Energy, who may expand or change such duties, responsibilities and authority, either generally or in specific instances.
